              Shopee Mega Discount Voucher (“MDV”) is a feature on Shopee where certain approved sellers (“MDV Sellers”) will be able to enjoy the rights and privileges described in these Terms of Service (“MDV Terms of Service”) and as may be separately agreed on between Shopee and MDV Seller, when selling MDV Items (as defined below) on the Site for such time as agreed by MDV Seller (“MDV Period”). If you are an MDV Seller, you will be deemed to have consented to the terms and conditions described in these MDV Terms of Service when you sign up to participate as MDV Seller.

              These MDV Terms of Service supplement the Terms of Service and the other Shopee Policies , of which these MDV Terms of Service form a part. Please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in these MDV Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable. All terms and conditions described in these MDV Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service .

1.          The procedure for participating in MDV (including the manner of discontinuing participation in MDV and the terms of any relevant free trial periods) shall be communicated separately in writing.
 
If you did not receive any such separate notification referred to in this Section from Shopee or did not sign up to participate as MDV Seller but have been participating in MDV and enjoying its benefits, you may contest the charging of the MDV Service Fee (as defined below) within thirty (30) days from the date of such charging. Failure to contest the charging within the thirty- 30-day period shall entitle Shopee to reject your request for refund.

2.          MDV Sellers may receive marketing support from Shopee as agreed from time to time, including, but not limited to, allocation of Site rebates, discounts, vouchers, and Shopee Coins, complimentary Flash Deal advertisement, and inclusion in other Shopee online advertising and marketing materials. For the avoidance of doubt, any marketing support shall be offered at the sole and absolute discretion of Shopee. 

3.           Shopee charges a fee (“MDV Service Fee”) for all items successfully sold by MDV Sellers on   the Site (“MDV Items”). The MDV Service Fee is borne by MDV Seller and is calculated   according to the method and the rates as notified by Shopee to MDV Seller from time to   time. The “Gross Settlement Price” for an MDV Item is MDV Seller’s original price for the   MDV Item, minus any MDV Seller-sponsored shop discount or vouchers, rounded to the   nearest peso. For the avoidance of doubt, the Gross Settlement Price shall not be affected   by Site rebates, discounts, vouchers, and Shopee Coins. The MDV Service Fee is inclusive of   value-added tax.

4.          The MDV Service Fee applies to all successful orders, excluding any cancellations and   returns/refunds. For the avoidance of doubt, the MDV Service Fee shall be charged on all   successful orders placed during the MDV Period, even if the transaction for such order is   completed after the expiry of the MDV Period. 

5.          Following the successful completion of a transaction, Shopee shall deduct the MDV Service Fee from the Buyer’s Purchase Monies and remit the balance to MDV Seller in accordance with Section 11.2 of the Terms of Service. Shopee shall issue official receipts or such other document required by applicable law for the MDV Service Fee paid by MDV Seller in accordance with applicable law.

6.         Shopee reserves the right to, upon its sole and absolute discretion, waive the MDV Service Fee, subject to any terms and conditions that may be determined at the sole and absolute discretion of Shopee, and as may be communicated separately by Shopee to MDV Sellers. 

7.         For the avoidance of doubt, the MDV Service Fee under these MDV Terms of Service applies in addition to the Seller Fees under the Terms of Service and the Shopee Mall Commission Fee under the Shopee Mall Terms of Service.

8.         Shopee may, in its sole and absolute discretion, terminate the MDV feature and these MDV Terms of Service at any time by notifying MDV Sellers.
