Shopee AI Terms of Service
These Shopee AI Terms of Service apply when you use, access, enable or interact with any generative AI tools, functionalities, features and services (“AI Tools”) made available to you by Shopee, or when you use, access, enable, interact or generate any AI-generated content, including content generated by AI Tools, (“AIGC”) on the Shopee platform.
The AI Tools and AIGC are additional services on the Shopee platform designed to assist users. By using, accessing, enabling or interacting with AI Tools and AIGC, you confirm that you understand and accept these Shopee AI Terms of Service. These Shopee AI Terms of Service supplement the Shopee Terms of Service and the other Shopee Policies (which includes the applicable Privacy Policies, and other applicable terms and conditions in respect of the service(s) and product(s) made available by Shopee, including its affiliates), of which these Shopee AI Terms of Service form a part. Please read the Shopee Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any capitalized terms that are used in these Shopee AI Terms of Service that are not defined here will have the meanings given to such terms in the Shopee Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these Shopee AI Terms of Service are subject to change at our discretion pursuant to the Shopee Terms of Service.
1. AI Services
1.1 Shopee makes available AI Tools (including but not limited to Chatbots, Shopee Live features and various Seller tools) and AIGC (including but not limited to product review summaries and listings summaries) on the Shopee platform as part of its Services for both Buyers and Sellers.
1.2 Shopee reserves the right to publish, amend, update, modify, delete or remove any AI Tool or AIGC at any time for any reason and you shall have no claim against Shopee for any publication, amendment, update, modification, deletion or removal of such AI Tool or AIGC.
2. Accuracy
2.1 While Shopee takes all reasonable efforts to ensure the accuracy, reliability, completeness or safety of the AI Tools and AIGC, Shopee makes no representations or warranties with respect to the validity, accuracy, reliability, completeness or safety of any AI Tool or AIGC.
2.2 In relation to AIGC (including the output of any AI Tools), you acknowledge that AIGC is provided purely for informational purposes and does not constitute an opinion, offer, instruction, endorsement or recommendation of any kind. You are encouraged to exercise discretion and independent judgement relating to any AIGC or AI Tool and to verify any AIGC. Any reliance on the AI Tools or AIGC is entirely at your own risk.
2.3 Shopee does not guarantee, represent, warrant or promise to Sellers that the use of AI Tools or AIGC will lead to any increased sales or page views.
3. Your Responsibilities
3.1 When you use, access, enable or interact with AI Tools or AIGC, you understand, warrant, represent and agree that:
3.1.1 You will not provide or solicit any personal or sensitive information, such as your gender or sexual orientation, ethnicity or country of origin, colour or race, health, disability, marital or family status, political views, and religion.
3.1.2 You will not provide or solicit any confidential personal information including but not limited to login information or passwords, financial information, PINs or any other personal financial information.
3.1.3 You will not solicit, submit, send, post, generate, disseminate or publish any material through AI Tools that may be considered to be abusive, defamatory, illegal, indecent, threatening, fraudulent, harassing, obscene, profane, pornographic, relating to illicit products and/or services, invasive of privacy or publicity rights, immoral, or otherwise harmful to others.
3.1.4 You will not use or misuse the AI Tools or AIGC in any way contrary to its intended function, design or purpose, as may be determined by Shopee.
3.1.5 You own or have obtained all necessary rights, title, and interest in and to content, material, or file you upload or submit to the Shopee platform, including the AI Tools.
3.2 You are prohibited from using, enabling or interacting with AI Tools or AIGC in any of the following manners or for any of the following purposes:
3.2.1 violating any applicable laws, rules and regulations, whether local or international;
3.2.2 infringing upon or violating our rights or rights of others, including intellectual property and privacy rights;
3.2.3 deceiving or misleading others, or submitting false or misleading information;
3.2.4 soliciting professional advice (including legal or financial advice);
3.2.5 generating content to be used for the purpose of engaging in regulated activities;
3.2.6 uploading or transmitting viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of AI Tools or AIGC or of any of the Services;
3.2.7 collecting or tracking the personal information of others;
3.2.8 any spam, phish, pharm, pretext, spider, crawl, or scrape;
3.2.9 any abusive, obscene, defamatory, illegal, indecent, threatening, fraudulent, harassing, profane, pornographic, sexually explicit, illicit, harmful, violent, invasive, or immoral purpose; or
3.2.10 interfering with or circumventing the security, safety and privacy features, controls and mechanisms of any of the Services, including the AI Tools, or the services, systems or servers of any third party.
3.3 When you use or submit any AI-generated content on the Shopee platform (including but not limited to on a listing, Shopee Live or any other videos on the Shopee platform) that was not generated by a Shopee AI Tool (“Third-Party AIGC”), you represent, warrant and agree that you have obtained all necessary rights, title, and interest in such Third-Party AIGC. You further understand and agree that Shopee shall not be responsible in any way for such Third-Party AIGC, and you agree to indemnify, defend and hold harmless Shopee, and its shareholders, subsidiaries, Affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties") from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, any other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to such Third-Party AIGC. Any Third-Party AIGC must be labeled as AI-generated.
4. Disclaimer of Liability
4.1 To the maximum extent permitted by law, you agree that your use of, enabling of or interaction with AI Tools and/or AIGC is at your own risk, that the AI Tools and AIGC is provided on an “as is” and “as available” basis, and that we make no guarantees that the AI Tools or AIGC will be safe, secure, truthful, complete, accurate or error-free, or that the AI Tools will function without disruptions, delays or imperfections. AI Tools or AIGC that inadvertently provide a view of a matter is purely coincidental and does not reflect the view of Shopee (including its affiliates). We disclaim any and all warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and any warranties arising out of course of dealing or usage of trade.
4.2 To the maximum extent permitted by law, we will not be liable for any losses or damages (including any loss of profits, loss of revenue, lost savings, loss of data or any indirect, incidental, consequential special, punitive or exemplary damages) that you may suffer as result of your use of, enabling of or interaction with the AI Tools or AIGC, as per the Terms of Service, including but not limited to if the AI Tools or any AIGC are unavailable for any reason, or if AI Tools or AIGC are inaccurate, invalid, unreliable, or unfit for any particular purpose, or if you find any AIGC to be disturbing, offensive, objectionable or upsetting, or arising out of any information that you provide to or through the AI Tools (including safety and security of such information).
4.3 You agree to indemnify, defend and hold harmless Shopee, and its shareholders, subsidiaries, Affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties") from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, any other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to use, access, enabling or interaction with or of AIGC or AI Tools in violation of these Shopee AI Terms of Service.
4.4 In the event of any inconsistency or conflict between these Shopee AI Terms of Service on the one hand, and the relevant Shopee Policies applicable to the terms and conditions in respect of the service(s) and product(s) made available by Shopee (including its affiliates) on the other hand, the latter shall prevail.
4.5 If you wish to report any AI Tool or AIGC for being inaccurate, unreliable or incomplete, you may do so by writing to us at legal.ph@shopee.com and we will investigate your report. Shopee reserves the right in its sole discretion to remove or retain such reported AI Tool or AIGC after our investigation.
5. General
5.1 Consistent with and pursuant to the terms of the applicable Privacy Policy, we may collect data that you provide during or in connection with your use of, enabling of or interaction with the AI Tools or AIGC, including to improve the AI Tools and our other services.
5.2 We may update this Shopee AI Terms of Service from time to time. We will post these amendments on this website and notify you in accordance with the applicable requirements. By continuing to use, enable or interact with the AI Tools or AIGC, you are deemed to have agreed to the updated terms. If you do not agree to the changes, you must stop using, enabling or interacting with the AI Tools or AIGC.
5.3 Except as otherwise provided by law, in the event of any inconsistency or discrepancy between the English version and any local language version of this policy, the English version shall prevail.
