General- The following terms and conditions govern your participation in the “Shopee VIP Program” (“Program”) provided by Shopee Philippines Inc. (“Shopee”) on Shopee’s website and mobile applications (“Platform”) during the program period as indicated on the Platform.
- By participating in this Program, you accept and agree to be bound by these terms and conditions and any rules and regulations relating to the Program (“Program Terms”), in addition to Shopee’s Terms of Service, Shopee’s Voucher Terms and Conditions, Monee’s (ShopeePay/SPayLater/MariBank) Terms and Conditions, and all applicable terms and conditions and/or Shopee policies (“Shopee Policies”), which are incorporated by reference.
- You agree that Shopee may use your personal data submitted (including your name, photo, voice, likeness and/or biographical information) for the purposes of conducting and administering the Program, and for Program advertising, marketing and other purposes without compensation, in accordance with the Shopee Privacy Policy.
Eligibility
- Only individuals with registered and valid Shopee accounts are entitled to participate in the Program.
- Shopee shall have sole and absolute discretion in determining whether an individual is qualified to participate in and/or is disqualified from the Program. For example, an individual may be disqualified from the Program if any fraudulent activities are detected (including the use of multiple Shopee accounts under Sec. 5.3 of Shopee’s Terms of Service).
6. Shopee VIP
- Shopee VIP program (“Program”) is a paid subscription program offered by Shopee Philippines Inc. (“Shopee”). By subscribing to the Program, subscribers will receive monthly benefits (as defined below) to be used on Shopee’s website and mobile applications (“Platform”).
- These terms and conditions (“Terms”) govern your Shopee VIP subscription with Shopee.
7. Subscription and Billing
- User must have an active account with Shopee to subscribe to the Program. Shopee VIP is available to any Shopee user who wishes to subscribe.
- User must have an active & verified ShopeePay account for payment authentication.
- Payment of the Subscription Fee will be made through any of the following payment methods: (a) ShopeePay, (b) SPayLater, (c) Credit/Debit Card (“Payment Method”).
- The billing due date will be dependent upon the date of subscription.
- ShopeeVIP subscription will be renewed automatically at the end of each billing cycle. You can sign up at any time during the month. For example, if a monthly subscription was purchased on 15 October, it will automatically renew and be billed on 14 November. Users may view their subscription auto-renewal date and expiration date (if cancelled) in the Shopee VIP Program Details accessible in the Shopee app > Me Page.
- The Shopee VIP subscription period will be dependent upon the date of subscription and will be automatically renewed at the end of your subscription period unless it is cancelled or terminated in accordance with these Terms.
- By subscribing to Shopee VIP, you acknowledge and agree that you are entering into an auto-renewal subscription agreement. For avoidance of any doubt, this means that Shopee will first bill you for the Subscription Fee on the date that you subscribe for your plan. Thereafter, Shopee will automatically charge the Subscription Fee using the Payment Method on the last day of the subscription, until and unless you cancel your plan before it is renewed, change your Payment Method, or Shopee suspends or terminates your subscription to Shopee VIP in accordance with these Terms.
- You are responsible for ensuring that your chosen Payment Method and information is current and correct. If Shopee is unable to debit your Payment Method on any date a Subscription Fee is due, whether because of insufficient balance or otherwise, your Shopee VIP subscription will be cancelled immediately and you will need to subscribe again in order to receive the program benefits.
- Users may change their designated payment method for the ShopeeVIP subscription during an active subscription cycle. With Monee’s Sequential Payment services, if a User wishes to change their payment method, they can arrange the order of their payment methods based on preference by going to ShopeePay Settings > Linked Services > Preferred Payment Methods.
- You understand and agree that Shopee is not liable in any way for erroneous billing statements or incorrect charges, and that in the event of a billing error that is caused by Shopee, our only responsibility is to correct such billing error within a reasonable time of us receiving notice of the error.
- You warrant that you are duly authorized to pay the Subscription Fee using the Payment Method, without infringement of any third-party rights.
- Once a Subscription Fee has been successfully paid to Shopee, it is non-refundable.
- Shopee reserves the right, exercisable in its sole and absolute discretion, to adjust the Subscription Fee at any time. Shopee will announce any changes to the Subscription Fee in accordance with the amendment procedure set out below. Unless communicated otherwise, price adjustments shall take effect on the next billing cycle.
8. Monthly Benefits
- Monthly Benefits of the Shopee VIP program include:
i. Daily 1x 20% Off Discount Voucher up to ₱70 with ₱249 min. spend
ii. 1x 20% Off Discount Voucher up to ₱250 with ₱1000 min. Spend
iii. Shopee VIP Day, offering exclusive perks for subscribers every Monday
iv. 0% Interest with SPayLater for 3 months tenor
v. Priority Customer Service
b. One-time 1x ₱249 Off MariBank Discount Voucher with ₱350 min. spend will also be available upon first subscription to Shopee VIP, regardless of payment method for users with no previous purchase on Shopee using MariBank as a payment method. Limited to one voucher per user, tied to first subscription payment.
c. Shopee VIP Day benefits offered every Monday include 10× Free Shipping vouchers worth up to ₱300 with no minimum spend, and a Shopee Shake reward of up to 80 Shopee Coins, on top of the existing Monthly Benefits.
i. The Shopee VIP Monday Shopee Shake reward shall be governed by the Shopee Shake Terms and Conditions.
ii. VIP members may participate in the Shopee Shake by opening the Shopee mobile application and accessing Shopee VIP Monday Shake via homepage banners.
d. You will have access to your Monthly Benefits only after the successful payment of the Subscription Fee and comply with all other applicable requirements to register an account of the Platform.
e. The Monthly Benefits that you will receive will be as stated at the time of subscription, except for the 0% Interest with SPayLater for 3 months tenor, which will be available one (1) day after date of subscription. Revisions to the Monthly Benefits may be made at the sole and absolute discretion of Shopee. In the event any such revisions are made to the Monthly Benefits, these shall only take effect on the next billing cycle and will be communicated to you by Shopee from time to time. Further details about the Monthly Benefits may be found under the Shopee VIP subscription page on the Platform.
f. The Monthly Benefits that you will receive can be only applicable to physical goods on the Platform in the Philippines.
g. Shopee may, at its sole discretion, revise or offer additional benefits in the form of but not limited to the following: discounts, promotions, bonus rewards or other forms of Shopee VIP benefits to eligible subscribers.
h. Your subscription is non-transferable and you shall not share your Monthly Benefits with other users.
9. Cancellation or Termination
- You can cancel your subscription at any time from the Shopee VIP page in your account. To avoid being charged for the next subscription cycle, cancellation must be completed at least one (1) day before the renewal date. If you encounter issues, you may refer to our FAQs or reach out to customer service through the Help Centre available on the Platform to cancel your plan.
- After successfully cancelling your subscription, you will be able to use your Monthly Benefits until the end of your then-current billing cycle.
- Shopee will not make any partial of full reimbursements for subscriptions cancelled prior to the end of your current billing cycle. Your subscription and its associated benefits, including any unused vouchers, are non-transferable to any other Shopee user or account.
- Shopee may at its sole and absolute discretion terminate your plan if we become aware or strongly believe that you have breached these Terms.
10. Amendment
- Shopee reserves the right to modify or change these Terms (including Monthly Terms and the Subscription Fee) at any time in its sole and absolute discretion.
- Shopee shall notify you of any changes or modifications to these Terms by Push Notification within the Platform or other means set out in the notice clause (Clause 11).
- If you do not accept the changes made, your only option is to cancel your subscription before the changes come into effect. To the fullest extent permitted by applicable laws, your continued subscription after the changes come into effect constitutes your full acceptance of, and agreement to be legally bound by these Terms, as modified, and such changes to the Monthly Benefits or your Shopee VIP subscription as may be communicated to you by Shopee.
11. Notice
- In order to ensure that you receive information regarding your subscription, Shopee VIP and these Terms from Shopee in a timely manner, you agree that Shopee has the right to notify you by any one of the following means: push notifications, in-app notifications, and email.
- Any such information will be deemed to have been delivered to you on the date it was sent out by Shopee. If multiple means of notification were used simultaneously, the delivery time will be that of the date and time of the earliest notification.
12. Application of Platform Terms
- The terms and conditions relating to the use of the Platform shall continue to apply and are incorporated by reference herein. A copy of the Platform terms and conditions may be accessed in the Shopee app or on our website.
Miscellaneous
- Any Shopee Coins received under the Program are nontransferable, non-refundable and non-exchangeable for cash or any items.
- By participating in the Program, you agree that you shall:
a. comply with all applicable laws and regulations when participating in the Program;
b. comply with the Shopee Policies; and
c. not participate in the Program in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee.
- The Program and the Platforms are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and participate in the Program, including an individual’s access and use of the Platforms; and the reliability or quality of the underlying telecommunications network accessed and used by an individual during the Program Period to participate in the Program.
- If for any reason any aspect of the Program is not capable of running as planned, including due to reasons such as communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Program and nullify any results.
- Shopee reserves the right to make final decisions and resolve disputes regarding the Program. In this regard, Shopee may disqualify an individual from participating in the Program (as further outlined in Section [4] of the Program Terms), to cancel an order, or forfeit any vouchers / Shopee Coins and/or to take any other action pursuant to the Shopee Policies, if Shopee determines (at its sole and absolute discretion) that an individual has engaged in any suspicious, fraudulent, illegal acts, abuse the Program or otherwise breached these Program Terms and Conditions and/or any of the Shopee Policies (including by opening more than one Shopee account).
- To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Program or with the acceptance of any Coins Cashback, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.
- You shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your participation in the Program, unless otherwise notified to you by Shopee.
- Shopee shall not be liable to fulfil any obligations under these Program Terms in the event of circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism.
- In the event of any inconsistency between these Program Terms and any marketing or Program materials, including any communications regarding the Program, these Program Terms shall prevail.
