General

1.  The following terms and conditions govern your participation in the use of games including but not limited to Spin & Win, Shopee Farm, Shopee Claw, Shopee Shake, Shopee Candy, Shopee Bubble, and Buy Vouchers Get Coins (“Games”) and other lucky draws, giveaways and/or services giveaways and/or services (“Giveaways” and together with Games, the “Events”) provided by Shopee Philippines, Inc. (hereinafter referred to as “Shopee”) on Shopee’s websites and mobile applications (“Platform”).

2. By participating in any of the Events, you agree unconditionally and irrevocably to be bound by, and shall be deemed to accept, these terms and conditions and any rules and regulations relating to the relevant Event (together, the “Participation Terms”), in addition to our Terms of Service, Privacy Policy, all applicable terms and conditions and/or Shopee policies (“Shopee Policies” and together with the Participation Terms, the “Shopee Terms”), which are incorporated by reference into these Participation Terms. Capitalized terms used and not defined herein have the same meaning as given to such terms in the Terms of Service and/or Shopee Policies.

3. Only participants with a registered Shopee account (“Participant”) are entitled to participate in the Events and to receive, and/or redeem any prizes in relation to any Events.

4. Shopee shall have sole and absolute discretion to determine whether an individual is qualified to participate in and/or is disqualified from any Events.

1. Participants are disqualified from subsequently winning Event Rewards in the same month for in-game special Events across all games (such as raffle events, collectibles events, and mini game contests). Participants can only win once per quarter across all games and will be eligible to win again 60 days after the Participant’s last win.

2. Participants are automatically disqualified from winning any Rewards with incomplete Shopee account information by the time of the DTI draw.

5. The availability of the Events shall be subject to the availability and functionality of resources including but not limited to the Shopee mobile application as well as the capability of Shopee’s systems. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Shopee mobile applications, the Events and/or any software or hardware used with the Events, any application accessed by a Participant using the Shopee mobile applications and/or the Events, or the reliability or quality of the underlying telecommunications network accessed by such Participant through the Events.

6. If for any reasons any aspect of an Event is not capable of running as planned, including by reason of computer virus, communications network failure, bugs, tampering, unauthorized intervention, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify, and/or suspend the Event with prior approval of the DTI and invalidate any effected activities, or suspend or modify any Shopee Coins, Shopee Vouchers, ShopeePay Credits, giveaways or any other rewards (“Rewards”).

7. To receive notifications in relation to the Events, Participant(s) should turn on notifications to receive in-app messages.

8. By participating in any Event, Participant agrees and acknowledges that:

1. all personal data submitted through the Participant’s Shopee account may be collected, processed, stored, disclosed, used or otherwise used by Shopee in accordance with our Privacy Policy and for the purposes of facilitating, conducting and administering the Event or Participants’ use of the Events including but not limited to displaying on scoreboards in relation to the Events;

2. and/or Shopee shall have the right to use the Participants’ names and/or biographical information for promotional, advertising, marketing and other purposes in relation to the Event without compensation.

9. Apple has no obligation whatsoever to provide any maintenance and support services with respect to the Rewards. Shopee and not Apple shall be responsible for addressing any claims that a Participant or any third party may have, in relation to an Event and/or Reward.

10. Shopee reserves the sole and absolute right to:

1. deny any Reward to any winner(s) at any point in time;

2. replace at any time, any of the Rewards stated with another prize which, in its sole and absolute discretion, is of equivalent value;

3. disqualify any Participant(s) from any Event and/or to forfeit any Rewards at any given time at its sole and absolute discretion without prior notice; and

4. request winner(s) to provide proof of identity for the purposes of claiming the prize(s) won.

11. Where Shopee deems that a Participant has committed fraud, illegal acts, or otherwise breached the Shopee Terms, Shopee reserves the right, at its sole and absolute discretion to:

1. cancel, not to give, or void any Rewards redeemed or awarded to a Participant;

2. prevent or restrict access of the Participant to any Event and/or the Shopee platforms;

3. report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to cooperate with such authorities;

4. cancel any orders placed during a Participant’s participation in the Events and/or in connection with any Rewards; and/or

5. exclude the Participant from all future Events and/or the Shopee platforms.

In such cases, the Participant will not be entitled to either claim against or hold Shopee responsible.

12. Each Participant acknowledges and agrees that the Participant shall:
    
1. comply with all applicable laws and regulations when participating in the Events;

2. be responsible for all information that is communicated, submitted, transmitted or otherwise made available during such Participant’s participation in the Events whether to Shopee or third parties;

3. be responsible for complying with the Shopee Terms; and

4. not participate in the Events or permit the participation in the Events in any manner which may adversely affect other customers' or Participants’ participation in the Events or the goodwill or reputation of Shopee.

13. Shopee shall not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with any Event and/or Reward (including but not limited to any losses, damages, fines, regulatory actions, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light), arising from or related to the Events including but not limited to:

1. such Participant’s breach of the Shopee Terms;

2. any alleged unauthorized transactions, disruptions, errors, defects or unavailability in relation to the Giveaway(s); and/or

3. any loss of data or damage to any of the Participant’s equipment, to the fullest extent permitted by law.

Shopee will not compensate any Participants for any accidental acts and/or omissions by the Participants in relation to any Events (including any accidental transactions in the form of in-game boosters purchase or redemption of prizes).

14.  In the event of inconsistency between:

a.     these Participation Terms;

b.     Shopee Policies; and

c.     any marketing or promotional materials related to Events,

these Participation Terms shall prevail.

15. Any modification to the Events and/or the Participation Terms shall be made with prior approval by the DTI. In the event of variation of these Participation Terms, Participant’s continued participation in or use of the Events thereafter, shall be deemed Participant's acceptance to be bound by such amended terms.

16. The laws of the Philippines shall apply and govern these Participation Terms. Any dispute arising out of or relating to this Participation Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Philippine Dispute Resolution Center, Inc. (“PDRCI”) under the arbitration rules of the PDRCI (“PDRCI Rules”) in force when the notice of arbitration is submitted. The seat of arbitration shall be the Philippines. The tribunal shall consist of one (1) arbitrator. The arbitration proceedings shall be conducted in English.

Campaign Mechanics

Spin & Win

17. Spin & Win is a mobile game that gives out prizes by tapping “SPIN” to spin the wheel. After tapping “SPIN”, a pop-up will display the prize won.

18. Each user is entitled to a maximum of only one (1) free chance per day.

19. Prizes will be randomly selected by the system. Prizes to be won are:

1. Shopee Coins

2. ShopeePay Credits

3. Free Shipping Discount Vouchers

Shopee Farm

20. Shopee Farm is an all-day, progressive mobile game which allows users to plant and water a crop to harvest an actual reward.

21. Each user can choose from a selection of crops with corresponding rewards:

1. Shopee Coins

2. ShopeePay Credits

3. Discount Vouchers

4. Physical Products

22. Users will grow their chosen crop through 4 stages - Seedling, Tree, Fruit, Harvest. Each stage has a water requirement that needs to be satisfied.

23. Users can water their own crop up to 8x a day or up to 400 water droplets.

24. Users can ask help from fellow Shopee users up to 20x a day, with each Shopee user contributing up to 35 droplets per help.

25. Users can ask help from non-Shopee users up to 5x a day, with each non-Shopee user contributing up to 10 droplets per help.

Shopee Claw

26. Shopee Claw is a mobile game where a user grabs an item from the machine to receive instant prizes.

27. Prizes will be randomly selected by the system. Prizes to be won are:

1. Shopee Coins

2. ShopeePay Credits

3. Coins Cashback Vouchers

4. Physical Products

28. Users are entitled to 3 Free chances to play on Free Machine (Free Claw).

Shopee Shake

29. Users get 1 chance per session to shake his/her mobile phone to win Shopee coins.

30. Shopee coins are being distributed based on the number of shakes registered within 10 seconds as well as the remaining coin pool available.

31. Users with the highest amount of Shopee Coins earned in a group by the end of a session will be awarded a bonus prize in the form of additional Shopee Coins.

32. Any Shopee Coins earned by a user during the session will be credited to the coins wallet of the user’s Shopee account. Shopee coins may take up to 10 minutes to be credited to your account.

Shopee Candy

33. Shopee Candy is a 4,780-level mobile app-only game where users switch and match candies to complete each level. Accumulated points can be used to redeem for rewards in the Points Redemption Store

34. There will be corresponding points per item in the points redemption store. Points per item will be displayed accordingly.

35. Points (diamonds) earned are accumulated for the entire campaign period and will not refresh daily.

36. Users must successfully switch and match candies to complete each level. If a user fails to reach the goal per level, the user will automatically lose a life.

37. Each user is entitled to receive 1 point (diamond) per normal level and 2 points (diamonds) per hard level (multiples of 5).

Buy Vouchers Get Coins

38. Users can check out vouchers and instantly get coins cashback.

39. Users can checkout vouchers using any payment method and get bonus Shopee coins as stated on the package labels.

40. All packages are composed of 1 Shopee voucher and a stated amount of Shopee coins cashback.

41. Users will automatically receive the Shopee voucher and coins upon successful checkout and payment.

42. Users can use their checked out packages to shop or to pay for Shopee Game paid chances and in-game items or boosters.

Rewards

43. Subject to these Participation Terms, points scored and obtained during the course of Event(s) may be accumulated by the Participant and exchangeable for Rewards. For any Rewards earned through the lucky draw mechanism, Rewards will be automatically credited to the Participant’s Shopee account.

44. For the avoidance of doubt, the award of any Rewards shall not be considered as, or constitute, a reservation of any gifts, products, or goods and products of any specific brands, for sale on the Shopee platforms.

45. In the event prize(s) awarded in relation to an Event are to be redeemed by the Participant(s) through the redemption store (“Redemption Store”) or via lucky draw, the Participant(s) agrees and acknowledges that the redemption or claim of prize(s) through the Redemption Store or lucky draw are on a first-come, first-served policy. Shopee does not guarantee that any prize(s) on the Redemption Store or lucky draw shall be readily available and/or Participant(s) are entitled to redeem or claim any prize(s).

46. After successful redemption through the Redemption Store or directly awarded via lucky draw through the applicable Event(s), all prizes in the form of Shopee Coins, Shopee Vouchers, and ShopeePay Credits will be credited to the Participant’s Shopee account. Rewards may take up to 60 minutes to be credited to the Participant’s account.

47. Participants agree and acknowledge that Shopee Vouchers are subject to varying terms and conditions, and it is the Participants’ obligation to check the applicable voucher(s)’ terms and conditions within the Participant’s Shopee account.

48. Shopee reserves the right to decide and alter the expiration date of any Rewards, or forfeit any Rewards issued to you. Expired Shopee Vouchers shall be deemed as forfeited and any request to extend such voucher(s)’ validity (or to exchange such voucher(s) for any in-Event items) shall not be entertained.

49. Rewards have no cash or monetary value and may not be exchanged for currency in any form. Under no circumstances shall Rewards be purchased, resold, exchanged, or transferred by, or to, Participants, for monetary value or otherwise. Save for where expressly permitted by Shopee, Rewards shall not be regarded, construed, implied, or used as valuable or exchangeable instruments under any circumstance.

50. Rewards are subject to availability. The quantity of Rewards issued to the Participants, the conversion rates amongst Rewards, as well as the redemption mechanism of the Rewards is determined by Shopee and may change from time to time at its sole and absolute discretion. Each Participant will bear any and all expenses arising from and/or relating to the receipt of any Rewards, including applicable taxes, duties, government fees, shipping fees, and other charges thereof.

51. In the event physical prize(s) are successfully redeemed or claimed by a Participant through the Redemption Store or directly awarded through the applicable Event(s), the physical prize(s) will be delivered to the address indicated on the applicable order, with the shipping fee for such delivery borne by the Participant. Shopee will not accede to requests for address changes once the order has been confirmed and Shopee shall not be liable for any damages and/or losses in relation to the delivery of such prize(s).

52. For physical prize(s), the Participant will first be notified via push notification on their Shopee account on the same day of winning. If the prize remains unclaimed after 1-2 weeks following the push notification, the Participant will subsequently be notified through email, phone, and registered mail.

1. The Participant has 60 calendar days to claim their prize from the date of the initial push notification to claim their prize, regardless of any subsequent notification attempts.

2. If the Participant fails to claim their prize within the redemption period, he/she forfeits the claim to the prize in concurrence with DTI.

3. Prize items are subject for replacement of equal or greater value if the item/s are deemed defective or have issues with stock availability.

53. Delivery of physical prize(s) may take up to forty (40) working days from the date of successful redemption or award and Participant(s) may contact Shopee Customer Service via help.shopee.ph for the delivery status of their prize.

54. All physical prize(s) in relation to the Event(s) are subject to the following conditions:

1. photographs are for illustrative purposes only, the actual product may differ in color and design, depending on the color reproduction on the applicable computer or mobile device;

2. Shopee shall not be liable for defects, warranty related issues, repairs or services requests; and

3. models and colorways can be subject to change due to stock issues.

55. Unless expressly provided in writing, Shopee makes no representation or warranty in relation to any Reward (including the condition or suitability for any purpose) and shall not be liable in connection thereof.

56. Participants who wish to submit a claim to Shopee in respect of any discrepancies or errors in crediting any Reward may be required to provide a screenshot or such other supporting evidence as may be required by Shopee. Failure to do so shall result in the claim being rejected.

Games

57. Games offered by Shopee are intended solely for the purpose of a Participant’s personal entertainment and personal benefit. The use of such Games for business or commercial purposes is strictly prohibited.

58. Participants are prohibited from running the Games with programs other than the Shopee mobile application which shall include but are not limited to automated bots and other tools meant to replace or supplement the Shopee mobile application. In addition, scripts and/or automated programs providing Participant(s) with any advantage over other Participant shall also be prohibited.

59. Participants shall not:

1. create or use cheats, mods and/or hacks, or any other third-party software products that may change the results or gameplay of the Games;

2. use software that allows the mining of data or otherwise intercepts or collects information in connection with the Games;

3. use virtual items (including deal, platform or brands vouchers) that are being used in the Games outside of the Games other than for purchase through Shopee, purchase virtual items for “real” money, or sell or swap virtual items;

4. sell, buy or trade Participant(s)’ Shopee accounts; and

5. engage in any activities and/or actions which may:

1. compromise or interrupt the proper functioning of the Shopee platforms including but not limited to any individual services and/or offers thereof and/or any of the Games; and

2. allow unauthorized access to data.

The foregoing shall include all circumventions and/or actions that produce an effect in line with the aforementioned prohibitions.

60. Where Shopee deems that a Participant has breached of any of the Shopee Terms, including fraudulently participating in the Games, Shopee reserves the right, at its sole and absolute discretion to:

1. prevent or restrict access of any Participant to any of the Games or the Shopee platforms;

2. report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to cooperate with such authorities; and/or

3. cancel any orders placed during a Participant’s participation in the Games.

61. The Participant agrees and acknowledges that by playing the Games, such Participant accepts that Shopee shall not be responsible to such Participant for any losses, damages, fines, regulatory actions, claims or compensation of whatever nature arising from or related to the Games including but not limited to (i) such Participant’s breach of the Shopee Terms, (ii) any alleged unauthorised transactions, disruptions, errors, defects or unavailability in relation to the Games, or (iii) any loss of data or damage to any of the Participant’s equipment, to the fullest extent permitted by law.

62. The Games contain media, data, images, text, graphics, music, sounds, sound sequences, videos, software programs and codes, and other information provided or developed by Shopee and/or third parties (“Content”). Content shall also include any services available for download through the Games.

63. Content developed and owned by Shopee and/or third-party intellectual property owners are protected by trademarks, copyrights or other applicable means. Unless otherwise explicitly agreed to in writing by Shopee and/or explicitly permitted within these Participation Terms, a Participant and/or any third party shall not edit, copy, distribute, publicly reproduce and/or use the Content or any portion thereof for any purposes.

64. Copyright information and brand names where applicable shall not be changed, hidden or removed.

65. Each Participant acknowledges and agrees that he/she shall:

1. comply with all applicable laws and regulations to the fullest extent when participating in the Games;

2. be responsible for all information that is communicated, submitted, transmitted or otherwise made available during such Participant’s participation in the Games whether to Shopee or third parties;

3. be responsible for complying with the Shopee Terms; and

4. not participate in the Games or permit the participation in the Games in any manner which may adversely affect other customers' or Participant’s’ participation in the Games or the goodwill or reputation of Shopee.

Giveaways

66. Giveaways and other services offered by Shopee are intended solely for the purpose of a Participant’s personal entertainment and personal benefit. The use of these Giveaways or services for business or commercial purposes is strictly prohibited.

67. The qualifying period for a Giveaway shall be as specified in the applicable Event terms and the entity conducting the Giveaway(s) is Shopee.

68. To qualify as a participant for the Giveaway(s), each Participant has to:

1. meet the minimum age requirement; and

2. be a Filipino or Non-Filipino with valid identification.

69. Employees of Shopee and its affiliates and their relatives up to the second degree of consanguinity or affinity are disqualified from participating in the Giveaways.

70. Participants will be eligible for chances to win the applicable prizes subject to mechanics of the applicable Giveaway(s) as specified in the applicable Event terms including but not limited to:

1. the rules of the Giveaway;

2. number of winner(s);

3. manner of allocation of prizes;

4. the methodology used to determine the winner(s); and

5. the methodology for the announcement or publication of the Giveaway results.

71. Selection of the winner(s) of each prize under the Giveaway will be done randomly amongst the Participants for such prize, in the presence of an official DTI Representative, during the applicable Giveaway period.

72. For the avoidance of doubt, each winner will only be able to win one (1) prize under the Giveaway and Shopee reserves the right to redraw another winner if the same winner has been chosen twice.

73. All winner(s) will be notified via Shopee in-app push notification through such winner(s)’ Shopee account, email, or such other manner of communication as determined by Shopee.

74. Winner(s) shall respond to the prize announcement email as a form of acknowledgment and provide confirmation on such winner(s)’ applicable personal particulars within such duration as determined by Shopee and notified to the winner. Failure to do so will result in forfeiture of the prize and the prize shall be released to the next winner in line.

75. All physical prizes will be directly shipped via a third-party courier to the winner(s). By providing acknowledgement and confirmation above, winner(s) agree to allow Shopee to share such winner(s)’ personal particulars with the third-party courier to facilitate the delivery of prize(s) to such winner(s).

76. Only named winner(s) are eligible to claim the prizes and prize(s) are not allowed to be claimed on behalf of any winner(s).
    
    In the event there are any questions or feedback regarding any Events, please notify Shopee via live chat in the chat support function. Shopee’s decision regarding any feedback is final and binding on the Participant.
