Terms and Conditions for Easy Nomination Program

General

 

  1. The following terms and conditions govern your participation in the Easy Nomination Program  (“Program”) provided by Shopee Shopee Philippines Inc.

  2. By participating in this Program , you accept and agree to be bound by these terms and conditions and any rules and regulations relating to the Program  (“Program Terms”), in addition to Shopee’s Voucher Terms and Conditions, Terms and Conditions for Shopee Prizes and/or Giveaway Events and all applicable terms and conditions and/or Shopee policies (“Shopee Policies”), which are incorporated by reference.

Eligibility

 

  1. Only individuals with registered and valid Shopee accounts are entitled to participate in the Program.

 

  1. Shopee shall have sole and absolute discretion in determining whether an individual is qualified to participate in and/or is disqualified from the Program. For example, an individual may be disqualified from the Program if any fraudulent activities are detected (including the use of multiple Shopee accounts which is prohibited according to Shopee’s Terms of Service).

 

Program Mechanics

 

  1. Under this Program, Shopee sellers may join and participate in various Shopee campaigns if their nominated products meet the specific eligibility criteria for each relevant Shopee campaign (“Eligible Campaigns”). Seller’s participation in the Eligible Campaigns is subject to each eligible campaign’s terms and conditions and Shopee’s discretion.

 

  1. To participate in the Program, Seller must:

 

    1. Submit a Best Non-Mega Campaign Price and a Best Mega Campaign Price (“Campaign Prices”) via the Easy Nomination Program session page within Seller Centre’s Marketing Center - Campaign module; and
    2. Commit all available stock for each nominated product to the Program.

 

  1. Sellers would be able to determine these Campaign Prices based on their sole discretion. For more details and examples of what types of campaigns would be considered mega and non-mega campaigns please see here: https://seller.shopee.ph/edu/article/27366

 

  1. The selling price for each nominated product is determined by the specific campaign's eligibility criteria. Once inputted in the Best Campaign Price, sellers are notified of the final campaign prices of each nominated product as auto-nominated campaign price is calculated real-time. Sellers may also choose to apply the system’s suggested Best Campaign Price based on the preset campaign eligibility criteria.   1. For the avoidance of doubt,

 

    1. Participation in any eligible campaign is at the Seller’s sole discretion.

      i. For ongoing and upcoming campaigns, Sellers will be able to view the Easy Nomination session with the Seller Centre’s Marketing Center - Campaign module when they have met the eligibility criteria to join the specific campaign after the Seller’s application to submit Campaign Prices for their nominated products has been processed successfully (which  generally takes a day). At that juncture, Sellers may adjust prices or opt-out of a specific campaign via the Easy Nomination Program session page.  

    2. Shopee does not guarantee, represent, warrant or promise to Sellers that their participation in this Program will lead to any increased sales or increase chances to join any Shopee campaigns. Participation in this Program is a tool to increase efficiency; Shopee does not guarantee increased sales or guarantee inclusion in all Shopee campaigns.
    3. Sellers may adjust their Campaign Prices and exit the Program and/or any of the Eligible Campaign at any time without penalty, subject to any ongoing campaign lock-in periods. 

 

Miscellaneous

 

  1. By participating in the Program, you agree that you shall:

 

a.     comply with all applicable laws and regulations when participating in the Program;

 

b.     comply with the Shopee Policies; and

 

c.     not participate in the Program in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee. 

 

  1. The Program and the Platforms are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and participate in the Program, including an individual’s access and use of the Platforms; and the reliability or quality of the underlying telecommunications network accessed and used by an individual during the Program Period to participate in the Program.

 

  1. If for any reason any aspect of the Program is not capable of running as planned, due to reasons such as  communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Program and nullify any results.

 

  1. Shopee reserves the right to make final decisions and resolve disputes regarding the Program. In this regard, Shopee may disqualify an individual from participating in the Program (as further outlined in Clause 3 and 4 of the Program Terms), to cancel an order of eligible product sold in any of the Eligible Campaigns,  to forfeit any vouchers / Shopee Coins and/or to take any other action pursuant to the Shopee Policies. If Shopee determines (at its sole and absolute discretion) that an individual has engaged in any suspicious, fraudulent, illegal acts, abuse the Program or otherwise breached these Program Terms and Conditions and/or any of the Shopee Policies (including by opening more than one Shopee account). 

 

  1. To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Campaign, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.

 

  1. Shopee reserves the right to vary these Campaign Terms without notice, or withdraw or discontinue the Program at any time without any notice or liability to any party. You agree that you are responsible for accessing, reviewing and keeping yourself updated on all amendments. Your continued participation in the Program after any amendments shall be deemed as your confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to you.

 

  1. You shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your participation in the Program.

 

  1. Shopee shall not be liable to fulfil any obligations under these Program Terms due to circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism.

 

  1. In the event of any inconsistency between these Program Terms and any marketing or Program materials, these Program Terms shall prevail.

 

  1. Any and all rights of interpretation and explanation of these Program Terms are exclusively reserved by Shopee. Shopee acknowledges that Shopee, and not any third party, is responsible for addressing any claims that you or any third party may have in relation to the Program.

 

  1. Any reference to a time of day is a reference to Philippine time unless otherwise stated.
