Shopee’s Coins Cashback Special (“CCB”) is a feature on Shopee where certain sellers (“CCB Sellers”) will be able to enjoy the rights and privileges described in these Terms of Service (“CCB Terms of Service”) and as may be separately agreed on between Shopee and CCB Seller, when selling CCB Items (defined below) on Shopee for such time as agreed by the CCB Seller (“CCB Period”). If you are a CCB Seller, you will be deemed to have consented to the terms and conditions described in these CCB Terms of Service when you sign up to participate as CCB Seller. These CCB Terms of Service supplement the Terms of Service and the other Shopee Policies, of which these CCB Terms of Service forms a part. Please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in these CCB Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these CCB Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.

1. The procedure for participating in CCB (including the manner of opting out of CCB and the terms of any relevant free trial periods) shall be communicated separately in writing. If you did not receive any such separate notification referred to in this Section from Shopee or did not sign up to participate as CCB Seller but have been participating in CCB and enjoying its benefits, you may contest the charging of the CCB Service Fee (as defined below) within thirty (30) days from the date of such charging. Failure to contest the charging within the thirty-30-day period shall entitle Shopee to reject your request for refund.
2. As marketing support from Shopee, CCB Sellers may receive Shopee Coin Cashback Voucher in such amount and under such terms and conditions as may be determined and notified by Shopee to CCB Seller from time to time. CCB Sellers may also receive other marketing support from Shopee as agreed from time to time, including, but not limited to, allocation of Site rebates, discounts, vouchers, and Shopee Coins, complimentary Flash Deal advertisement, and inclusion in other Shopee online advertising and marketing materials. For the avoidance of doubt, any marketing support shall be offered at the sole and absolute discretion of Shopee.
3. Shopee charges a fee (“CCB Service Fee”) for all items successfully sold by CCB Sellers on the Site (“CCB Items”). The CCB Service Fee is borne by CCB Seller and is calculated according to the method and the rates as notified to CCB Seller from time to time. The “Gross Settlement Price” for a CCB Item is CCB Seller’s original price for the CCB Item, minus any CCB Seller-sponsored shop discount or vouchers, rounded to the nearest peso. For the avoidance of doubt, the Gross Settlement Price shall not be affected by Site rebates, discounts, vouchers, and Shopee Coins. The CCB Service Fee is inclusive of value-added tax.
4. The CCB Service Fee applies to all successful orders, excluding any cancellations and returns/refunds. For the avoidance of doubt, the CCB Service Fee shall be charged on all successful orders placed during the CCB Period, even if the transaction for such order is completed after the expiry of the CCB Period.
5. Following the successful completion of a transaction, Shopee shall deduct the CCB Service Fee from the Buyer’s Purchase Monies and remit the balance to CCB Seller in accordance with Section 11.2 of the Terms of Service. Shopee shall issue official receipts for the CCB Service Fee paid by CCB Seller.
6. Shopee reserves the right to, upon its sole and absolute discretion, waive the CCB Service Fee, subject to any terms and conditions that may be determined at the sole and absolute discretion of Shopee, and as may be communicated separately by Shopee to CCB Sellers.
7. For the avoidance of doubt, the CCB Service Fee under these CCB Terms of Service applies in addition to the Seller Fees under the Terms of Service and the Shopee Mall Commission Fee under the Shopee Mall Terms of Service.
8. Shopee may, in its sole and absolute discretion, terminate the CCB feature and these CCB Terms of Service at any time by notifying the CCB Sellers.
