1.        Shopee offers off-platform advertising services where Sellers may advertise their items on third-party channels (“Channels”) through the Shopee Seller Centre and other site/s on an ongoing basis (“Off-Platform Advertising Services”). Shopee provides the Off-Platform Advertising Services as an intermediary in accordance with these Shopee Off-Platform Advertising Terms of Service (these "Terms of Service"), any explanatory materials published on this Site, the Seller Centre and the rules of each Channel (hereinafter referred to as the "Off-Platform Advertising Rules") which supplement the Terms of Service and the other Shopee Policies, of which these Off-Platform Advertising Rules form a part. Please read the Off-Platform Advertising Rules, Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in these Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these Terms of Service are subject to change at Shopee's discretion pursuant to the Terms of Service. If you are not agreeable to being bound by the Off-Platform Advertising Rules, the Terms of Service, and/or other applicable Shopee Policies, do not buy any Off-Platform Advertising Services. Your purchase of any Off-Platform Advertising Services shall mean your acceptance of the Off-Platform Advertising Rules and the respective roles of Shopee and the Channels in providing the Off-Platform Advertising Services.

3.        In order to purchase Off-Platform Advertising Services, you must be an eligible Seller under the Off-Platform Advertising Rules. At the time you purchase and pay for the Off-Platform Advertising Services, your Shopee Seller Centre account must not be suspended.

4.        Off-Platform Advertising Services Credits

(a)    You have the option to purchase Off-Platform Advertising Services at the time you list an item for sale or subsequently. When you purchase Off-Platform Advertising Services, you can set different budgets, keywords, marketing periods, etc. for each item in accordance with the Off-Platform Advertising Rules. You may purchase Off-Platform Advertising Services on specific Channels available to you by purchasing advertising credits (“Off-Platform Advertising Credits”) through any of the following modes: 

(i)    Manual Purchase: Where two or more Channels are available to you under the Off-Platform Advertising Services, the Off-Platform Advertising Services Credits that you manually purchase will first be credited to your account on Seller Centre as general credits ("General Credits"). You must then allocate such General Credits to a specific Channel, where they will be converted to Off-Platform Advertising Services Credits that can be used only on that Channel for purchase of Off-Platform Advertising Services. Once allocated to a specific Channel, you will not be entitled to transfer any Off-Platform Advertising Services Credits to another Channel for any reason.

(ii)    Automatic Top-Up: You may also choose to have the balance of your Off-Platform Advertising Services Credits in a specific Channel automatically topped up ("Advertising Credits Top Up Feature") via your Seller Balance if your Off-Platform Advertising Service Credits balance falls below an amount set by you ("Advertising Credits Minimum Amount"). When activating the Advertising Credits Top Up Feature, you must choose the Advertising Credits Minimum Amount and the amount of top up ("Advertising Credits Top Up Amount"), and you consent to the debit of your Seller Balance in accordance with Section 10 of the Terms of Service. The Paid Advertising Service for each item will be activated and will expire on the respective dates set by you (the "Paid Advertising Period").

You agree that:

(1) any remaining General Credits in your Account will first be allocated to the Channel subject of your Off-Platform Advertising Service Credits top up before your Seller Balance is debited to reach your Advertising Top Up Amount:
(2) any Advertising Top Up Amount to be debited from your Seller Balance must be in whole numbers (i.e., no decimals):

(3) the Off-Platform Advertising Service Credits purchased through the Advertising Credits Top Up Feature will be directly and immediately allocated to the selected Channel (i.e., they will not be usable as General Credits or reallocated to a different Channel); and
(4) you will not be entitled to transfer any remaining Paid Advertising Period or Off-Platform Advertising Service Credits to other items if an item is sold or unlisted during the Paid Advertising Period you set for that item. The Off-Platform Advertising Service Credits will also not be refunded.

To illustrate:

Given:
Available Off-Platform Advertising Service Credits for Meta Channel = PhP0.80
Advertising Credits Minimum Amount for Meta Channel = PhP10.00
Advertising Credit Top Up Amount = PhP10.00
Available General Credits in your Account = PhP2.50

Top-up of your Off-Platform Advertising Service Credits for Meta Channel will occur as follows:

1. The General Credits amounting to PhP2.50 will be allocated as Off-Platform Advertising Service Credits for Meta Channel.
2. To reach your Advertising Top Up Amount, PhP8.00 will be debited from your Seller Balance.
3. PhP7.50 will be allocated as Off-Platform Advertising Service Credits for Meta Channel so that you will have a total of PhP10.80 as Off-Platform Advertising Service Credits for Meta Channel after the top up. The balance of PhP0.50 will be credited as General Credits to your Account.

5.        Any Fees payable for the Off-Platform Advertising Services rendered will be deducted from your Off-Platform Advertising Services Credits by Shopee. All Off-Platform Advertising Services Credits will be exclusive of any goods and services tax, which shall be invoiced in addition to the Off-Platform Advertising Services Credits and shall be paid and borne by you. 

6.        Except as otherwise provided in the applicable Off-Platform Advertising Rules, you may not cancel the order and/or request for a refund after you have purchased Off-Platform Advertising Services Credits and completed the payment process, and Off-Platform Advertising Services Credits are non-refundable and non-exchangeable for cash.

7.        The items you advertise on the Channels must comply with all relevant laws and regulations and the Off-Platform Advertising Rules. You will be responsible for ensuring that the items advertised on the Channels are approved products in order to run your campaign successfully. You understand and agree that Shopee and the Channel have the right to immediately reject or remove any advertising which violates any laws and regulations and/or the Off-Platform Advertising Rules. Any Off-Platform Advertising Credits you have used in relation to any advertising removed pursuant to this Section will not be refunded, and Shopee will not be liable to compensate you for any loss whatsoever in relation to such removal.

8.        You understand and agree that Shopee does not warrant or guarantee any increase in viewership or sales of your items as a result of the Off-Platform Advertising Services.

9.        You are advised to only purchase Off-Platform Advertising Services after fully considering your budget and intended advertising objectives. Except as otherwise provided in these Terms of Service or the Off-Platform Advertising Rules, Shopee shall not be liable for any compensation or be subject to any liability (including but not limited to actual expenses and lost profits) for the results or intended results of any Off-Platform Advertising Service.

10.        IF, NOTWITHSTANDING ANYTHING IN THESE TERMS OF SERVICE, SHOPEE IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE LIABLE (INCLUDING FOR GROSS NEGLIGENCE) IN RELATION TO ANY OFF-PLATFORM ADVERTISING SERVICE, THEN, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ITS LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE OFF-PLATFORM ADVERTISING SERVICE IN QUESTION ONLY.
