The RR Shipping Fee Support Program (“Program”) is a program on Shopee where certain Eligible Sellers (defined below) approved by Shopee (“Participating Seller”) will be able to enjoy the features described in this Terms of Service (“Program Terms of Service”) when buyers create orders on Shopee. By joining the Program (and/or continuing to participate in the Program), you shall be deemed to have consented to the terms and conditions described in this Program Terms of Service.
This Program Terms of Service supplement the Terms of Service, Refunds and Return Policy, Shopee Mall Terms of Service, and the other Shopee Policies of which this Terms of Service forms a part. Any capitalized terms that are used in this Program Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in this Program Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service and Participating Seller's continued participation in the Program shall constitute Participating Seller's acceptance of the changes.
1. Enrolment
1.1 Eligible Sellers (defined below) may at any time submit an application to be enrolled in the Program (along with all required forms and/or documents) through the Shopee Seller Center or Shopee App.
1.2 Upon successful enrolment as notified by Shopee, a Participating Seller shall continue to be enrolled in the Program until such seller opts out of the Program via the Shopee Seller Center or Shopee App. A Participating Seller may opt out of the Program at any time, and such opt-out shall be done directly from the RR Shipping Fee Support Program Page through the Shopee Seller Center or Shopee App found under Shipping Settings in real time. A Participating Seller’s opt-out shall take effect immediately, upon which the seller shall cease to participate in the Program.
1.3 For the avoidance of doubt, Shopee shall at all times have the sole and absolute discretion to determine whether to approve any seller’s participation (including an existing Participating Seller’s continued participation) in the Program, including the right to revoke any approval following an initial approval. Shopee shall have no obligation whatsoever to provide any seller with any reasons for Shopee’s decision.
2. Eligibility
2.1 This Program is available to all sellers on Shopee, except Cross Border Sellers, Sellers who violate the Terms of Service and/or any other Shopee Policies and any Seller who Shopee, in its sole and absolute discretion, determines is not eligible to participate in and/or is disqualified from the Program (an “Eligible Seller”). Notwithstanding the aforesaid, categorisation and eligibility of sellers may be determined and/or amended by Shopee at Shopee’s discretion from time to time. Shopee shall have no obligation whatsoever to provide any Seller with any reasons for Shopee’s decision.
2.2 The services and benefits under the Program shall only apply to orders (and, for the avoidance of doubt, returns processed under an RR request (defined below)) shipped using Shopee-Supported Logistics shipping options, subject to Section 4.2(g) of this Program Terms of Service.
3. Program Features
3.1 Eligible Sellers acknowledge that:
(a). Buyers may apply for returns and/or refunds (“RR”) of purchased item(s) ("Item") from time to time, including of an Item still in transit but before it reaches the last-mile hub, which is the last stop for an Item before it gets delivered to a Buyer ("In Transit RR"), delivered Items ("Normal RR"), and those Items returned on the spot upon unboxing of the parcel in front of the rider ("Returned on the Spot" or "RoS") (if available), in accordance with the Terms of Service, the Refunds and Return Policy, and/or the Shopee Mall Terms of Service; and
(b). pursuant to the Refunds and Return Policy, Participating Seller may be required to bear the Return Shipping Fees (if any) ("RSF") and Forward Shipping Fees ("FSF"):
(i) For Shopee Mall / Fulfilled-by-Shopee Sellers, RSF refers to the shipping cost required to transport the Item from the Buyer to the relevant warehouse for inspection during a return and/or refund request from the Buyer ("RR Request") which is approved by Shopee.
(ii) For all other Sellers, RSF refers to the cost required to transport the Item from the Buyer directly to the Seller during an RR Request.
(iii) Without prejudice to the generality of the foregoing and for the avoidance of doubt only, RSF refers to the shipping costs required to transport the Item from the Buyer directly to the Seller (or to the relevant warehouse in line with the RR Policy) during an RR Request, and FSF refers to the initial shipping fee to transport the item from the Seller to the Buyer (includes shipping costs related to In Transit RR and RoS).
4. Seller Shipping Fee Savings
4.1 Under the Program, Shopee will manage the RR request and the returns process of Eligible Orders (as defined below). Further, Participating Sellers shall not be required to bear the Return Shipping Fees (if any) and Forward Shipping Fees in respect of any RR arising out of any Eligible Order (as defined below), subject always to this Program Terms of Service and to such restrictions (including restrictions intended to deter fraudulent activities or abuse of benefits) as may be notified by Shopee to Participating Sellers in writing from time to time (“RSF/FSF Savings”). Shopee may implement the RSF/FSF Savings through such method as may be notified to Participating Sellers from time to time. For the purpose of this Program Terms of Service, “Eligible Order” means any order generated on the Site that:
(a) meets such minimum order value as may be notified by Shopee to Participating Sellers in writing from time to time;
(b) was generated through the site when the relevant Participating Seller was enrolled in the Program; and
(c) was shipped out by Participating Seller to the Buyer.
4.2 For avoidance of doubt:
(a) the RSF/FSF Savings only apply to an Eligible Order which is created by the Buyer through the Shopee Platform while the Participating Seller is enrolled in the Program (save that the RSF/FSF Savings may be applied as long as the relevant RR Request had arisen from an Eligible Order generated at such time when the Participating Seller was enrolled in the Program, even if the Participating Seller has opted out and is no longer enrolled in the Program at the time that the RSF/FSF Savings is applied;
(b) the RSF/FSF Savings covers the Seller-borne RSF (if any) and FSF under the Refunds and Return Policy only, and does not cover any other shipping fee;
(c) if there is a partial refund (i.e. where the full purchase value of the Item is not refunded back to the Buyer) then the RSF/FSF Savings will not apply to that Eligible Order;
(d) if there is a partial return and refund (i.e. where the Item is returned back to the Participating Seller but the full purchase value of the item is not refunded back to the Buyer), then only RSF Savings will apply to that Eligible Order (such that no FSF Savings will apply);
(e) Shopee may at any time suspend the RSF/FSF Savings and charge the full Return Shipping Fees (if any) and Forward Shipping Fees (or any part thereof) at its sole and absolute discretion, including but not limited to such situations as where Shopee determines (at its sole and absolute discretion) that Participating Seller has engaged in fraudulent or suspicious activity and/or transactions or is in breach of this Program Terms of Service, and/or other Shopee Policy.
(f) the RSF/FSF Savings will only apply if the Buyer raises the relevant RR no later than the end of the 90-calendar day period commencing on the date on which the Eligible Order was created. By way of illustration, if the Eligible Order is created at 11:00:00AM GMT+8 on the 5th of April, the RR must be raised before 23:59:59PM GMT+8 on the 3rd of July in order for the RSF/FSF Savings to apply.
(g) the RSF/FSF Savings shall apply only to orders handled by Shopee- Supported Logistics. To know more about Shopee-Supported Logistics, you may refer this article in the Seller Education Hub; and
(h) Shopee shall have the sole and absolute discretion to make the final decision on whether RSF/FSF Savings may be implemented, in accordance with these Terms and Conditions.
5. Administrative Management of RSF/FSF Savings Charges
5.1. Under the Program, Shopee will manage the Participating Seller's statement of account and automatically reflect the RSF/FSF Savings for Eligible Orders (where applicable) in the relevant statement of account. A Participating Seller is not required to provide manual submissions to Shopee for RSF/FSF Savings of any RR Request arising for any Eligible Order.
6. RR Shipping Fee Support Program Service Fee
6.1. Shopee charges a service fee (“Program Fee”) for each Eligible Order. The Program Fee is borne by Participating Sellers. The Program Fee rates shall be as determined by Shopee from time to time and as stated on Shopee Seller Center or Shopee App. Shopee has the right but not the obligation to vary the Program Fee between different Participating Sellers (as determined by Shopee from time to time, in its sole discretion), and may also adjust the Program Fee rate at any time at its sole discretion. The amount of the Program Fee applicable to a Participating Seller shall be notified to such Participating Seller from time to time.
6.2. The Program Fee is inclusive of value-added tax. Shopee shall issue invoices or such other document required by applicable law for the Program Fee in accordance with the applicable law.
6.3. The Program Fee shall be charged by Shopee through such method as may be notified by Shopee from time to time, including by (a) deducting the Program Fee from the Buyer’s Purchase Monies following the completion of each Eligible Order and remitting the balance to Participating Seller in accordance with Section 11.2 of the Terms of Service, or (b) deducting the aggregate Program Fees in respect of all Eligible Orders completed in a particular calendar month from any monies due to Participating Seller.
6.4. Participating Seller shall notify Shopee in the event that Participating Seller is required to withhold applicable taxes on the Program Fee and shall provide the Certificate of Creditable Tax Withheld at Source (BIR Form No. 2307) within 20 days following the quarter when the withholding is made, prior to Shopee remitting back the amount of withholding tax.
6.5. For avoidance of doubt:
(a) the Program Fee shall be charged on all Eligible Orders, even if Participating Seller is no longer enrolled in the Program at the time the Eligible Order is completed and/or a successful RR has been raised in respect of such Eligible Order; and
(b) the Program Fee applies in addition to any other fees under the Terms of Service and/or Shopee Policy, if applicable.
7. Discontinuation by Shopee
7.1. Participating Seller acknowledges and agrees that Shopee may for any reason, in its sole and absolute discretion, suspend or terminate any Participating Seller’s participation in the Program (or any part thereof) with immediate effect, without notice or liability or compensation to such Participating Seller, and without prejudice to Shopee’s rights and/or remedies for any breach by Participating Seller of this Program Terms of Service and/ or any other Shopee Policies. Grounds for such actions may include, but are not limited to:
(a) Participating Seller being in breach of any of these Program Terms of Service, any of the Shopee Policies, or any other agreement Participating Seller may have with Shopee;
(b) Participating Seller has provided any incorrect, false, or incomplete information to Shopee; and
(c) Shopee is of the view that Participating Seller has caused harm (or is likely to cause imminent harm) to Shopee or any of its personnel or has engaged in any potentially fraudulent or suspicious activity and/or transactions.
