Chatbot Terms of Service

 

The Chatbot Services (the “Chatbot”) are additional services on the Site designed to provide general information in response to User queries relating to Shopee and its Services. By using or enabling the Chatbot, you confirm that you understand and accept these Chatbot Terms of Service. These Chatbot Terms of Service supplement the Terms of Service and the other Shopee Policies (which includes the applicable Privacy Policies (such as the Shopee Privacy Policy), ShopeePay Terms of Service, and other applicable terms and conditions in respect of the Service(s) made available by Shopee, including its affiliates), of which these Chatbot Terms of Service form a part (together, “Shopee Policies”). Please read these Chatbot Terms of Service, the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any capitalized terms that are used in these Chatbot Terms of Service that are not defined herein will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these Chatbot Terms of Service are subject to change at Shopee’s discretion pursuant to the  Terms of Service. Your continued access or use of the Chatbot after such changes have been posted on the Site shall constitute your acceptance of such revised Chatbot Terms of Service.

 

1.         Chatbot Services

 

1.1       The Chatbot is comprised of automated chat support tools designed to provide responses to User queries for information purposes only, including among other things answering frequently asked questions and providing basic information about policies or listings. Some elements of the Chatbot are powered by artificial intelligence.

 

1.2       The Chatbot is optional and you do not have to use the Chatbot in order to receive customer support. You may contact Shopee Customer Service through the methods described here.

 

2                  Accuracy

 

2.1     Information provided through the Chatbot (a “Response”) is for informational purposes only. It is not investment, financial, tax, legal or other advice, nor does it constitute an opinion, offer, instruction, endorsement or recommendation on any matter, including with respect to any specific products and/or services and you must not construe it as such.

 

2.2         Responses may not be valid, accurate, or reliable. You are encouraged to exercise discretion and independent judgement relating to any Response and verify any Responses. Any reliance on Responses is entirely at your own risk.

 

2.3     To the maximum extent permitted by applicable law, and for the avoidance of doubt, we make no representations or warranties of any kind with respect to the validity, safety, accuracy, or reliability of the Chatbot or any Responses. You must not rely upon the Chatbot for any purpose or use Responses to give advice or make decisions.

 

2.4         In the event of any inconsistency or conflict between Responses on the one hand, and the applicable terms and conditions of the relevant Shopee Policies in respect of the Service(s) made available by Shopee (including its affiliates) on the other hand, the latter shall prevail.

 

3                   Your Responsibilities When Using the Chatbot

 

3.1             When you interact with or enable the Chatbot, you understand and agree that:

 

3.1.1   You will not ask the Chatbot any questions that include any personal or sensitive information, such as your gender or sexual orientation, ethnicity or country of origin, colour or race, health, disability, marital or family status, political views, and religion, and you will not provide any of this information to the Chatbot.

 

3.1.2   You will not provide the Chatbot with any confidential personal information including but not limited to your login information or passwords, financial information, PINs or any other personal financial information and you will keep this information confidential.

 

3.1.3  You will not submit, send, post, or publish any material through the Chatbot that may be considered by us to be abusive, defamatory, illegal, indecent, threatening, fraudulent, harassing, obscene, profane, pornographic, relating to illicit products and/or services, invasive of privacy or publicity rights, immoral, or otherwise harmful to others.

 

3.1.4    You will not use or misuse the Chatbot in any way contrary to its intended function, design or purpose, as may be determined by Shopee in its sole discretion.

 

3.2        You are prohibited from using or enabling the Chatbot or any of our Services for the following:

 

3.2.1    any unlawful purpose;

 

3.2.2 violating any applicable laws, rules and regulations, both local and international;

 

3.2.3     infringing upon or violate our intellectual property rights or the intellectual property rights of others;

 

3.2.4 deceiving or misleading others, or submitting false or misleading information;

 

3.2.5  soliciting professional advice or content to be used for the purpose of engaging in regulated activities;

 

3.2.6     uploading or transmitting viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Chatbot or of any of our channels;

 

3.2.7      collecting or tracking the personal data of others;

 

3.2.8      any spam, phish, pharm, pretext, spider, crawl, or scrape;

 

3.2.9   any abusive, obscene, defamatory, illegal, indecent, threatening, fraudulent, harassing, profane, pornographic, illicit, harmful, invasive, or immoral purpose; or

 

3.2.10  interfering with or circumventing the security, safety and privacy features, controls and mechanisms of the Chatbot or any of our Services or the services of any third party.

 

3.3          We reserve the right, at any time and without prior notice or liability, to remove or disable access to the Chatbot at our discretion for any or no reason. Some of the reasons we may remove or disable access to the Chatbot include, without limitation: (a) inappropriate use or use that violates the terms of these Chatbot Terms of Service, any of the Shopee Policies, rights of third parties, or applicable laws or is harmful to Shopee or the Users, and (b) pursuant to reports of violations of intellectual property rights (verified or not) or any court orders or orders from governments, legislators or law enforcement.

 

4                 INDEMNITY

 

You agree to indemnify, defend and hold harmless Shopee, and its shareholders, directors, officers, agents, co-branders or other partners, and employees (collectively, the “Indemnified Parties”) from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, any other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to: (a) your violation or breach of any term of these Chatbot Terms of Service or any of the Shopee Policies, (b) your use or misuse of the Chatbot, or (c) your breach of any applicable law or any rights of a third party.

 

5                 DISCLAIMER OF LIABILITY

 

5.1        TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOUR USE OR ENABLING OF THE CHATBOT IS AT YOUR OWN RISK, THAT THE CHATBOT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND THAT WE MAKE NO GUARANTEES THAT THE CHATBOT WILL BE SAFE, SECURE OR ERROR-FREE, OR THAT THEY WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. YOU ACKNOWLEDGE AND AGREE THAT THE RESPONSES MAY BE GENERATED FROM ARTIFICIAL INTELLIGENCE PROGRAMMING AND ARE DERIVED FROM SPECIFIC QUESTIONS FROM YOU ONLY. AS SUCH, A RESPONSE THAT INADVERTENTLY PROVIDE A VIEW OF A MATTER IS PURELY COINCIDENTAL AND DOES NOT REFLECT THE VIEW OF SHOPEE (INCLUDING ITS AFFILIATES).

 

5.2          TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES THAT YOU MAY SUFFER AS RESULT OF YOUR USE OR ENABLING OF THE CHATBOT, AS PER THE TERMS OF SERVICE, INCLUDING IF THE CHATBOT IS UNAVAILABLE FOR ANY REASON, IF ANY RESPONSE IS INACCURATE, INVALID, UNRELIABLE, OR UNFIT FOR ANY PARTICULAR PURPOSE, IF YOU FIND ANY RESPONSE TO BE DISTURBING, OFFENSIVE, OBJECTIONABLE OR UPSETTING, OR ARISING OUT OF ANY INFORMATION THAT YOU PROVIDE TO THE CHATBOT (INCLUDING SAFETY AND SECURITY OF SUCH INFORMATION).

 

6                 Processing of Your Personal Data

 

6.1          Consistent with and pursuant to the terms of the applicable Privacy Policy (such as the Shopee Privacy Policy), we may collect personal data that you provide during or in connection with your use or enabling of the Chatbot, including to improve the Chatbot and our other Services, and you hereby provide your full and express consent thereto.

 

7                Right of Shopee to Modify, Suspend, or Terminate

 

7.1       Shopee reserves the right to replace, change, suspend, or discontinue all or any part of the Chatbot at any time or after giving notice as required by applicable law.
