Shopee Live XTRA Terms and Conditions

 

General

 

1.   The following terms and conditions govern your participation in the “Shopee Live - Live XTRA” Campaign (“Campaign”) provided by Shopee Philippines Inc. (“Shopee”) from January 6, 2025, until such date as determined by Shopee at Shopee’s sole discretion and notified to Shopee users (“Campaign Period”) on Shopee’s website and mobile application (“Platforms”).

 

2.   By participating in this Campaign, you accept and agree to be bound by these terms and conditions and any rules and regulations relating to the Campaign (“Campaign Terms”), Shopee’s Voucher Terms and Conditions, and all applicable terms and conditions and/or Shopee policies (“Shopee Policies”), which are incorporated by reference.

 

3.  You agree that Shopee may use your personal data submitted (including your name) for the purposes of conducting and administering the Campaign, and for Campaignal, advertising, marketing and other purposes without compensation, in accordance with the Shopee Privacy Policy.

 

Eligibility

 

4.  All Shopee Sellers (“Sellers”) are entitled to participate in the Campaign subject to the Campaign Mechanics below.

 

5.     Shopee shall have sole and absolute discretion in determining whether a Seller is qualified to participate in and/or is disqualified from the Campaign. For example, a Seller may be disqualified from the Campaign if any fraudulent activities are detected (including the use of multiple Shopee accounts which is prohibited according to Shopee’s Terms of Service.

 

Campaign Mechanics

 

6.     Shopee may offer free trial periods of the Campaign, each a “Trial Period”.

 

7.   Trial Periods are available to certain Sellers who are not enrolled in the Campaign as of the start date of a Trial Period and who have been selected by Shopee at its sole discretion (“Selected Sellers”). Offers for free Trial Periods will be communicated by Shopee to the Selected Sellers separately.

 

8.   During the Trial Period, no Service Fee (as defined below) shall be charged to Selected Sellers. Shopee reserves the right to modify or terminate the Trial Periods without prior notice at any time at its sole discretion.

 

9.   The first Trial Period for 2025 shall start on January 6, 2025 running for four (4) weeks each per Seller, and shall be subject to the weekly opt-in schedule discussed in Clause 13 below, until January 31, 2025.

 

10.  After the Trial Period,  all Selected Sellers will be auto-opted in the Campaign and will be charged the Service Fee unless they opt out via the Live XTRA Opt-Out Form (until July 4, 2025) or via the Seller Center (starting July 9. 2025) before their Trial Period expires, subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable. If Seller does not opt out in accordance with the below procedure before the end of the free trial, and subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable, it is understood that they wish to continue participating in the program.

 

11.  Other Sellers, i.e., sellers other than the Selected Sellers, who have not been offered a free Trial Period may also opt-in and opt-out of the Campaign via via the Live XTRA Opt-In Form and Live XTRA Opt-Out Form (until July 4, 2025) or via the Seller Center (starting July 9, 2025), subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable. Any other form of opt-in or opt-out requests (e.g., e-mail, SMS, etc.) are invalid and will not be accepted by Shopee. 

 

12.  After opting in for the first time, all Sellers, including Selected Sellers after the free Trial Period, will continuously and automatically be opted into the Campaign for succeeding weekly runs, such that all items checked out from the Live XTRA livestream while the Campaign is running shall be charged corresponding Service Fees. If Seller does not wish to be charged Service Fees for items checked out from the Live XTRA livestreams, then Seller may opt out of the next weekly run by the cut-off date discussed in Clause 4 below, subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable.

 

13.  The Campaign’s opt-in period is weekly with cut-off every Tuesday at 17:00 (GMT+8). Live XTRA Exclusive Vouchers will be reflected in the orange basket of Sellers who have successfully opted in to the Campaign (“Participating Seller”) on or before Tuesday at 17:00 (GMT+8), by 22:45 (GMT+8) on the same Tuesday. Sellers who opt in after Tuesday 17:00 (GMT+8) will have the vouchers reflected by 22:45 (GMT+8) on the following Tuesday.

 

14.  The Campaign’s opt-out period is also weekly with cut-off every Tuesday at 17:00 (GMT+8). Live XTRA Exclusive Vouchers will be removed from the orange basket of Participating Sellers who have successfully opted out of the Campaign on or before Tuesday at 17:00 (GMT+8), by 22:45 (GMT+8) on the same Tuesday. Sellers who opt out after Tuesday 17:00 (GMT+8) will have the vouchers removed by 22:45 (GMT+8) on the following Tuesday.

 

15. For the avoidance of doubt, all valid opt-in and opt-out requests made beyond the cut-off periods set out above will strictly be processed by Shopee during the next opt-in or opt-out period (as the case may be), subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable.

 

16. Participating Sellers shall have thirty (30) days within which to file their dispute concerning the charging of any Service Fee and/or their participation in the program, from the end of the Trial Period or opt-out period (should they continue to be charged Service Fee despite opting out following the procedure set forth above), whichever is applicable, after which, any such claim or dispute by such Seller shall be deemed waived and/or abandoned and can no longer be filed or raised.

 

17. For all Participating Sellers (including Selected Sellers after a Trial Period), Shopee will charge each Participating Seller a 3.36% (or other preferential rate, as may be applicable)  service fee (value-added tax-inclusive) (“Service Fee”) for each SKU successfully purchased via Shopee Live, including those transacted with or ordered from/through other Sellers or affiliates under the Shopee Affiliate Program featuring Participating Seller’s products (“Qualified Transaction”). Unless otherwise determined by Shopee, in its sole discretion, and notified to Participating Seller, the Service Fee per SKU per Qualified Transaction will not exceed PhP100.00 and will be charged by Shopee on top of any other paid promotional campaign Participating Seller is currently enrolled in (e.g., Free Shipping Special, Coins Cashback Special, Mega Discount Voucher, etc.). For the avoidance of doubt, the Service Fee shall be charged on all Qualified Transactions placed during the Campaign Period, even if such Qualified Transaction is completed after the expiry of the Campaign Period.

 

18. Following the successful completion of a Qualified Transaction, Shopee shall deduct the Service Fee from the Buyer’s Purchase Monies and remit the balance to Participating Seller in accordance with Section 11.2 of Shopee’s Terms of Service. Shopee shall issue an invoice or such other document required by applicable law for the Service Fee paid by Participating Seller in accordance with applicable law.

 

19.  As a benefit for participating in the Campaign, Participating Seller will be entitled to receive any of the following Live XTRA Exclusive Vouchers during the Campaign Period:

 

a.     Percentage discount Live XTRA Exclusive Vouchers ranging from 10% to 70%

b.   Flat peso off Live XTRA Exclusive Vouchers with the following denominations: (i) PhP 80.00, (ii) PhP 100.00, (iii) PhP 150.00, (iv) PhP 200.00, (v) PhP 250.00, and (vi) PhP 300.00

 

20.  The Live XTRA Exclusive Vouchers will be valid only for the following periods:

a.     For Participating Sellers who have opted in by July 4, 2025:

 

i.  Daily Live XTRA Exclusive Vouchers are valid from 00:00 (GMT+8) to 23:59 (GMT+8) of a given day.

ii.   Weekly Live XTRA Exclusive Vouchers are valid from Monday at 00:00 (GMT+8) to Sunday at 23:59 (GMT+8) of a given week.

 

b.     For Participating Sellers opting in July 9, 2025 onwards:

 

i.  Daily Live XTRA Exclusive Vouchers are valid from 00:00 (GMT+8) to 23:59 (GMT+8) of a given day.

ii.   Weekly Live XTRA Exclusive Vouchers are valid from Tuesday at 22:45 (GMT+8) to the following Tuesday at 22:44 (GMT+8) of a given week. 

 

21.  With respect to the Live XTRA Exclusive Vouchers, Participating Seller acknowledges and agrees that:

a.    Daily Live XTRA Exclusive Vouchers can only be claimed and used one (1) to two (2) times a day depending on the terms of the particular Daily Live XTRA Exclusive Voucher.

b.     Weekly Live XTRA Exclusive Vouchers can only be claimed and used one (1) to three (3) times a week depending on the terms of the particular Weekly Live XTRA Exclusive Voucher.

c.     Live XTRA Exclusive Vouchers are valid for Shopee Live checkouts only.

d.     Live XTRA Exclusive Vouchers cannot be used for products classified as under Shopee’s Groceries category. For more information on Shopee’s product categories list, you may refer to this article.  

e.     Live XTRA Exclusive Vouchers cannot be applied retroactively.

f.      Live XTRA Exclusive Vouchers are non-transferable, non-refundable, and non-convertible to cash or any item with monetary value. Any unutilized amount shall be forfeited.

g.     Live XTRA Exclusive Vouchers that remain unclaimed and/or unutilized at the end of the validity period set out in Section 8 shall be forfeited.

 

Miscellaneous

 

22. The right to participate in the Campaign or to receive a Live XTRA Exclusive Voucher or any benefits which may be available to Participating Seller under the Campaign may not be transferred or assigned to any third party or other shop ID.

 

23.  By participating in this Campaign, you agree that you shall:

 

a.     comply with all applicable laws and regulations when participating in the Campaign;

 

b.     comply with the Shopee policies; and

 

c.  not participate in the Campaign in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee.

 

24. The Campaign and the Platforms are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and participate in the Campaign, including an individual’s access and use of the Platforms; and the reliability or quality of the underlying telecommunications network accessed and used by an individual during the Campaign Period to participate in the Campaign.

 

25.  If for any reason any aspect of the Campaign is not capable of running as planned, due to reasons such as communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Campaign.

 

26. Shopee reserves the right to make final decisions and resolve disputes regarding the Campaign. In this regard, Shopee may disqualify a Seller from participating in the Campaign (as further outlined in Section 5 of the Campaign Terms), to forfeit any vouchers and/or to take any other action pursuant to the Shopee Policies. If Shopee determines (at its sole and absolute discretion) that the Seller has engaged in any suspicious, fraudulent, illegal acts, abuse the Campaign or otherwise breached these Campaign Terms and Conditions and/or any of the Shopee Policies (including by opening more than one Shopee account).

 

27. To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Campaign, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.

 

28. Shopee reserves the right to vary these Campaign Terms without notice, or withdraw or discontinue the Campaign at any time without any notice or liability to any party. You agree that you are responsible for accessing, reviewing and keeping yourself updated on all amendments. Your continued participation in the Campaign after any amendments shall be deemed as your confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to you.

 

29.  You shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your participation in the Campaign, unless otherwise notified to you by Shopee.

 

30. Shopee shall not be liable to fulfil any obligations under these Campaign Terms due to circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism.

 

31.  In the event of any inconsistency between these Campaign Terms and any marketing or Campaign materials, including any communications regarding the Campaign, these Campaign Terms shall prevail.

 

32. Any and all rights of interpretation and explanation of these Campaign Terms are exclusively reserved by Shopee. Shopee acknowledges that Shopee, and not any third party, is responsible for addressing any claims that you or any third party may have in relation to the Campaign.

 

33.  Any reference to a time of day is a reference to Philippine time unless otherwise stated.
