General
1. The following terms and conditions govern your participation in the Shopee VIP Program ("Shopee VIP") and the Shopee VIP+ Program ("Shopee VIP+") (each a "Program" and collectively, the "Programs")provided by Shopee Philippines Inc. (“Shopee”) on Shopee’s website and mobile applications (“Platform”) during the program period as indicated on the Platform.
2. By participating in any Program, you accept and agree to be bound by these terms and conditions and any rules and regulations relating to the Program (“Program Terms”), in addition to Shopee’s Terms of Service, Shopee’s Voucher Terms and Conditions, Monee’s (ShopeePay/SPayLater/MariBank) Terms and Conditions, and all applicable terms and conditions and/or Shopee policies (“Shopee Policies”), which are incorporated by reference.
3. You agree that Shopee may use your personal data submitted (including your name, photo, voice, likeness and/or biographical information) for the purposes of conducting and administering the Programs, and for Program advertising, marketing and other purposes without compensation, in accordance with the Shopee Privacy Policy.
4. Shopee may adjust applicable fees for the Programs or provide add-on services or features for additional fees. If we change our fees or charge additional fees in connection with the Programs, we will give you an opportunity to review and accept the fee changes before you are charged. If you do not accept any such fee changes, we may discontinue your access to the Programs.
Eligibility
5. Only individuals with registered and valid Shopee accounts are entitled to participate in the Programs.
6. Each user may purchase and/or maintain only one (1) active subscription under the Programs at any given time, whether Shopee VIP or Shopee VIP+.
7. Shopee shall have sole and absolute discretion in determining whether an individual is qualified to participate in and/or is disqualified from any Program. For example, an individual may be disqualified from the Program if any fraudulent activities are detected (including the use of multiple Shopee accounts under Sec. 5.3 of Shopee’s Terms of Service).
Program Mechanics
8. Shopee VIP and Shopee VIP+
a. Shopee VIP Program is a subscription program designed to reward users with exclusive perks and extra savings.
b. Shopee VIP+ is an enhanced subscription tier that entitles users to all the benefits of the VIP Program, plus a Netflix plan of choice (Mobile, Basic, Standard, or Premium).
c. These terms and conditions (“Terms”) govern your Shopee VIP or ShopeeVIP+ subscription with Shopee.
d. Shopee VIP and VIP+ subscription program plan durations are as follows:
i. Shopee VIP: one (1) month, three (3), six (6) months, or twelve (12) months long
ii. Shopee VIP+: one (1) month, three (3), or six (6) months long
iii. For multi-month plans, the VIP Subscription lasts for consecutive calendar months.
iv. Each eligible user is limited to one (1) type of VIP Subscription plan.
e. Subscribers to Shopee VIP+ shall receive all benefits available under Shopee VIP, together with additional partner benefits, including a Netflix subscription corresponding to the selected plan, subject to these Terms and the applicable terms and conditions of Netflix.
f. Where a user has an active Shopee VIP subscription and upgrades to Shopee VIP+, Shopee may apply a prorated adjustment to the Shopee VIP+ Subscription Fee based on the remaining unused subscription period of the user's Shopee VIP subscription.
g. Eligible Shopee VIP+ subscribers may select from the Netflix subscription plans made available on the Platform.
h. Shopee VIP+ subscribers may upgrade or downgrade their selected Netflix subscription plan through Netflix.
i. Where a user has an active Shopee VIP subscription and upgrades to Shopee VIP+, the user shall be charged upfront for the Shopee VIP+ subscription, and receive a refund equivalent to the Shopee VIP Subscription Fee prorated based on the remaining number of full months of the user's active Shopee VIP subscription. Such refund shall be credited within seven (7) days from the date of the successful Shopee VIP+ subscription.
i. For example, if a user has five (5) months and four (4) days remaining on the user's active Shopee VIP subscription at the time of upgrading to Shopee VIP+, the user shall receive a refund equivalent to five (5) months of the Shopee VIP Subscription Fee.
j. Where a Shopee VIP+ subscriber upgrades the selected Netflix subscription plan during an active subscription period, the upgraded Netflix plan shall take effect immediately and the corresponding prorated Subscription Fee shall be charged for the remainder of the current billing cycle.
k. Where a Shopee VIP+ subscriber downgrades the selected Netflix subscription plan during an active subscription period, the downgraded Netflix plan shall take effect on the next billing cycle and the corresponding Subscription Fee shall be adjusted accordingly.
l. Shopee VIP+ subscribers may activate the Netflix benefit at any time during an active Shopee VIP+ subscription. Subscribers may change the linked Netflix account while the Shopee VIP+ subscription remains active. Only one (1) Netflix account may be linked to a Shopee VIP+ subscription at any given time.
m. Each user may maintain only one (1) active subscription at any given time, whether Shopee VIP or Shopee VIP+.
9. Subscription and Billing
a. If eligible payment method is ShopeePay
i. Users must have an active account with Shopee to subscribe to the Program. Shopee VIP and VIP+ is available to any Shopee user who wishes to subscribe.
ii. Payment of the Subscription Fee will be made through any of the following payment methods: (a) ShopeePay, (b) SPayLater, (c) Credit/Debit Card (“Payment Method”)
iii. Shopee Vouchers and Shopee Coins cannot be used to offset the VIP Subscription fee.
iv. The billing due date will be dependent upon the date of subscription.
v. Shopee VIP subscription will be renewed automatically at the end of each billing cycle. Users may view their subscription auto-renewal date and expiration date (if cancelled) in the Shopee VIP Program Details accessible in the Shopee app > Me Page.
vi. The Shopee VIP subscription period will be dependent upon the date of subscription and will be automatically renewed at the end of your subscription period unless it is cancelled or terminated in accordance with these Terms.
vii. By subscribing to Shopee VIP with an active and fully KYC’d ShopeePay account, you acknowledge and agree that you are entering into an auto-renewal subscription agreement. For avoidance of any doubt, this means that Shopee will first bill you for the Subscription Fee on the date that you subscribe for your plan. Thereafter, Shopee will automatically charge the Subscription Fee using the Payment Method on the last day of the subscription, during the auto-renewal attempts within the 30-day suspension period, until and unless you cancel your plan before it is renewed, change your Payment Method, or Shopee suspends or terminates your subscription to Shopee VIP in accordance with these Terms.
viii. For Shopee VIP+ subscriptions:
· Users’ VIP+ Subscription will automatically renew according to the selected subscription period, based on the calendar date of the initial purchase ("Renewal Date"). The subscription fee will be charged automatically to the User’s chosen payment method.
· In the event that there is failure in automatic renewal, [Shopee will attempt to charge it every 2 days for up to 30 days from the Renewal Date. For VIP+ subscribers with Netflix entitlement, Netflix access is paused during this 30-day retry period if the auto-renewal fails. If payment remains unsuccessful after 30 days, the VIP+ Subscription and Netflix access will be cancelled.]
· If the User does not want automatic renewal, they can cancel the VIP+ Subscription at any time before the Renewal Date by clicking "Cancel Subscription" on the ShopeeVIP page. Cancellations will not affect any benefits already gained from the subscription for the current period. For VIP+ subscribers who did not link an existing Netflix account, Netflix access is terminated at the end of the current subscription cycle.
· For Users upgrading from a VIP Program to a VIP+ Program, they will receive a refund equivalent to the price of the VIP+ Subscription, prorated by the remaining number of full months, within seven days after their VIP+ purchase. For example, if a user has 5 months 4 days left on the current VIP Subscription and upgrades to a VIP+ Subscription, they will receive a rebate equivalent to 5 months of their VIP subscription. will be applied to the VIP+ Subscription. Their VIP upgrade will also take immediate effect.
ix. You are responsible for ensuring that your chosen Payment Method and information is current and correct. If Shopee is unable to debit your Payment Method on any date a Subscription Fee is due, whether because of insufficient balance or otherwise, your Shopee VIP subscription will be suspended for 30 days to provide you with time to ensure you either have sufficient balance across your Payment Methods, or for you to manually cancel your subscription. Within those 30 days, you will not be eligible for Shopee VIP benefits during Shopee’s attempts to automatically charge the Subscription Fee every 2 days. After the 30-day suspension period, Shopee will automatically terminate your subscription to Shopee VIP and you will need to subscribe again in order to receive the program benefits.
x. Users may change their designated payment method for the ShopeeVIP subscription during an active subscription cycle. With Monee’s Sequential Payment services, if a user wishes to change their payment method, they can arrange the order of their payment methods based on preference by going to ShopeePay Settings > Linked Services > Preferred Payment Methods.
xi. If you wish to change your subscription plan duration, you will have to cancel your existing subscription and select a new plan. Before subscription expiry, you will still have access to the benefits for the remainder of your subscription.
xii. You understand and agree that Shopee is not liable in any way for erroneous billing statements or incorrect charges, and that in the event of a billing error that is caused by Shopee, our only responsibility is to correct such billing error within a reasonable time of us receiving notice of the error.
xiii. You warrant that you are duly authorized to pay the Subscription Fee using the Payment Method, without infringement of any third-party rights.
xiv. Once a Subscription Fee has been successfully paid to Shopee, it is non-refundable.
xv. Shopee reserves the right, exercisable in its sole and absolute discretion, to adjust the Subscription Fee at any time. Shopee will announce any changes to the Subscription Fee in accordance with the amendment procedure set out below. Unless communicated otherwise, price adjustments shall take effect on the next billing cycle.
b. If eligible payment method is GCash
i. Users must have an active account with Shopee to subscribe to the Program. Shopee VIP is available to any Shopee user who wishes to subscribe.
ii. Payment of the Subscription Fee will be made through the following payment method: (a) GCash.
iii. The subscription expiry date will be dependent upon the date of subscription.
iv. ShopeeVIP subscription will not be renewed automatically at the end of each billing cycle.
v. By subscribing to Shopee VIP through GCash, you acknowledge and agree that you are entering into a non-recurring subscription agreement. For avoidance of any doubt, this means that you will have to re-subscribe to Shopee VIP every time your subscription ends to continue enjoying its benefits. The subscription fee shown to the user is inclusive of a 2% handling fee from the partner payment channel.
vi. If you wish to change your subscription plan duration, you will have to cancel your existing subscription and select a new plan. Before subscription expiry, you will still have access to the benefits for the remainder of your subscription.
vii. You understand and agree that Shopee is not liable in any way for erroneous billing statements or incorrect charges, and that in the event of a billing error that is caused by Shopee, our only responsibility is to correct such billing error within a reasonable time of us receiving notice of the error.
viii. You warrant that you are duly authorized to pay the Subscription Fee using the Payment Method, without infringement of any third-party rights.
ix. Once a Subscription Fee has been successfully paid to Shopee, it is non-refundable.
x. Shopee reserves the right, exercisable in its sole and absolute discretion, to adjust the Subscription Fee at any time. Shopee will announce any changes to the Subscription Fee in accordance with the amendment procedure set out below. Unless communicated otherwise, price adjustments shall take effect on the next billing cycle.
c. If the subscription was activated through a partner company promotion (Only applicable for Shopee VIP)
i. If the user currently does not have an active, ongoing subscription to Shopee VIP, the redemption process would depend entirely on the available payment method of the user on Shopee
· If eligible payment method is ShopeePay (this includes ShopeePay, MariBank, SPayLater, Credit/Debit Card)
a. Eligible users can redeem their partner-provided subscription using either a unique code on the Shopee VIP page or by clicking a direct redemption link.
b. Upon successful validation of the code or link, the subscription will immediately activate on the user's account for the duration specified in the partner promotion.
c. ShopeeVIP subscription will be renewed automatically at the end of each billing cycle. Users may view their subscription auto-renewal date and expiration date (if cancelled) in the Shopee VIP Program Details accessible in the Shopee app > Me Page.
d. The Shopee VIP subscription period will be dependent upon the date of subscription and will be automatically renewed at the end of your subscription period unless it is cancelled or terminated in accordance with these Terms.

· If eligible payment method is GCash
a. Eligible users can only redeem this subscription via a direct redemption link. Unique codes are not supported for this method.
b. Clicking the GCash redemption link will automatically route the user into the ShopeePay activation flow. To successfully claim the subscription, the user must register for, link, and activate a ShopeePay account.
c. Upon successful completion of the sign up process and link validation, the subscription will immediately activate on the user's account for the duration specified in the partner promotion.
d. ShopeeVIP subscription will be renewed automatically at the end of each billing cycle. Users may view their subscription auto-renewal date and expiration date (if cancelled) in the Shopee VIP Program Details accessible in the Shopee app > Me Page.
e. The Shopee VIP subscription period will be dependent upon the date of subscription and will be automatically renewed at the end of your subscription period unless it is cancelled or terminated in accordance with these Terms.
f. By subscribing to Shopee VIP with an active and fully KYC’d ShopeePay account, you acknowledge and agree that you are entering into an auto-renewal subscription agreement. m. Shopee reserves the right, exercisable in its sole and absolute discretion, to adjust the Subscription Fee at any time. Shopee will announce any changes to the Subscription Fee in accordance with the amendment procedure set out below. Unless communicated otherwise, price adjustments shall take effect on the next billing cycle.
ii. If the user already has an active, ongoing subscription to Shopee VIP, the ability to stack or extend your subscription with a partner-provided benefit depends strictly on your existing payment method:
· If eligible payment method is ShopeePay (this includes ShopeePay, MariBank, SPayLater, Credit/Debit Card)
a. Active ShopeePay subscribers are eligible to extend their current subscription using the partner benefit.
b. You may redeem the benefit via either a unique code or a direct redemption link.
c. Upon successful redemption, the validity period of the partner subscription will be stacked and added directly to the end of your current active billing cycle
· If eligible payment method is GCash
a. Active subscribers whose accounts are currently billed via GCash cannot redeem partner-provided subscription extensions under any circumstances.
b. Unique codes and redemption links will not function for existing GCash subscribers looking to extend an active plan.
c. To utilize a partner-provided subscription, existing GCash subscribers must wait for their current GCash subscription period to fully expire and lapse before attempting to redeem the partner benefit as a "Non-Subscriber" via the Shopee Pay flow outlined in Section 7(C)
10. Monthly Benefits
a. Monthly Benefits of the Shopee VIP program include:
i. Free Shipping Discount Voucher up to ₱300 with ₱0 min. Spend
ii. Daily 1x 20% Off Discount Voucher up to ₱100 with ₱249 min. Spend
iii. 1x 20% Off Discount Voucher up to ₱250 with ₱1000 min. spend
iv. Shopee VIP Day, offering exclusive perks for subscribers every Monday
v. 0% Interest with SPayLater for 3 months tenor
vi. ChatGPT Go 3 months Free Trial
vii. Canva Pro Free 3 month subscription
viii. Super Duolingo Free 1 month subscription
ix. Trip.com up to 8% off discounts on flights, hotels, attractions

xiv. A user who subscribes to the ShopeeVIP Subscription may enjoy additional benefits from participating VIP partners. Benefits provided by VIP partners are subject to the respective partners’ terms and conditions.
xv. Insurance membership benefit with up to 30% savings
· Shopee VIP members are eligible to receive one insurance benefit (providing up to 30% savings) for select group insurance products on Shopee, subject to applicable terms and conditions (T&Cs), underwriting guidelines, eligibility requirements, and approval by the relevant licensed insurance provider, MoneeInsure General Insurance Co., Inc. and MoneeInsure Life Insurance Co., Inc. (collectively, “MoneeInsure”).
xvi. Complimentary Insurance providing protection for eligible items against accidental damage and liquid damage, subject to the policy terms.
· The complimentary insurance benefit provides insurance coverage for eligible items against accidental damage and liquid damage for a period of one (1) month from the policy issuance date, subject to the applicable insurance policy terms and conditions underwritten by MoneeInsure General Insurance Co., Inc.
b. Monthly Benefits of the Shopee VIP+ program include:
i. All monthly benefits available under Shopee VIP; and
ii. A Netflix subscription corresponding to the selected Netflix plan, subject to these Terms and the applicable Netflix Terms of Use.
iii. The Netflix benefit made available under Shopee VIP+ shall be subject to the following terms and conditions:
· The Netflix service is provided to you by Netflix Pte. Ltd. under the Netflix Terms of Use (https://help.netflix.com/legal/termsofuse).
· Subscribers may activate a new Netflix account or link an existing Netflix account.
· In order to enjoy the Netflix service as part of your ShopeeVIP+ Subscription, you will need to activate the Netflix service by completing the Netflix activation process via Netflix. You will receive instructions on how to activate the Netflix service via the Platform or email / text messages from Netflix.
· ShopeeVIP+ subscribers may select from Mobile, Basic, Standard, or Premium Netflix tiers at the corresponding VIP+ Subscription fee . A VIP+ Subscription is billed by Shopee based on the duration of the VIP+ Subscription plan that you choose (e.g. billing will be every 6 months for a 6 months plan).
· ShopeeVIP+ subscribers can upgrade or downgrade the selected Netflix tier mid-cycle via Netflix. Any such upgrade or downgrade will result in a corresponding change to the ShopeeVIP+ Subscription tier and applicable subscription fee.
· Upgrades will take effect immediately and the user will be charged a pro-rated fee for the remainder of the current billing cycle. Downgrades will take effect at the start of the next billing cycle.
· There is no deadline within the VIP+ Subscription validity period to activate the Netflix benefit after purchasing the VIP+ Subscription. Subscribers can change the linked Netflix account while the ShopeeVIP+ subscription is active. Subscribers can only link the Netflix service obtained from the VIP+ Subscription to one Netflix account at any one time.
· If a subscriber links an existing Netflix account to the Shopee VIP+ subscription:
a. Netflix will discontinue direct billing for the linked Netflix account upon successful activation of the Netflix benefit;
b. Any charges incurred prior to successfully linking the Netflix account shall remain the responsibility of the subscriber; and
c. The linked Netflix account shall remain active and the Netflix subscription included in the Shopee VIP+ subscription shall be applied to such account.
d. Upon expiration or termination of the Shopee VIP+ subscription, Netflix may resume charging the payment method registered with Netflix in accordance with Netflix's applicable terms.
· If you already have an existing Netflix account, you can link it to your VIP+ Subscription when you activate Netflix. Upon successful linking, Netflix will no longer bill your existing Netflix account. Please note that you will continue to be charged separately for any existing Netflix account until you link that Netflix account to your VIP+ Subscription. For any queries regarding your billing with Netflix for your existing Netflix account, please contact Netflix directly. If you link an existing Netflix account to your VIP+ Subscription, terminating the VIP+ Subscription will not automatically cancel your Netflix membership, and Netflix will automatically resume charging your existing payment method that they have on file once your VIP+ Subscription ends. If you wish to review the details of your Netflix membership, please visit your ‘Account’ pages via Netflix.
· If you link an existing Netflix account to your VIP+ Subscription, any credit for the remainder of your existing Netflix membership will be kept on your Netflix account. This credit will be automatically applied to your Netflix membership once your VIP+ Subscription ends, before Netflix resumes charging your existing payment method.
· Subscribers may change the linked Netflix account while the Shopee VIP+ subscription remains active. Only one (1) Netflix account may be linked to a Shopee VIP+ subscription at any given time.
· Shopee will share the email address and/or mobile number registered to the subscriber's Shopee account with Netflix solely for purposes of facilitating activation and administration of the Netflix benefit, in accordance with the Shopee Privacy Policy and Netflix Privacy Statement.
c. Third-party partner benefits available to Shopee VIP and VIP+ programs:
i. One-time 1x ₱249 Off MariBank Discount Voucher with ₱350 min. spend will also be available upon first subscription to Shopee VIP, regardless of payment method for users with no previous purchase on Shopee using MariBank as a payment method. Limited to one voucher per user, tied to first subscription payment.
ii. One-time 1x ₱99 Off Discount Voucherwith ₱0 min. spend for New VIP Subscribers (Users that have no past subscriptions to Shopee VIP), valid for 7 days after claim, tied to first subscription.
iii. Shopee VIP Day benefits offered every Monday include Shopee Shake reward of up to 80 Shopee Coins and access to an exclusive-price collection, on top of the existing Monthly Benefits.
· The Shopee VIP Monday Shopee Shake reward shall be governed by the Shopee Shake Terms and Conditions.
· VIP members may participate in the Shopee Shake by opening the Shopee mobile application and accessing Shopee VIP Monday Shake via homepage banners.
· Participating Players may receive Shopee Coins based on:
a. One chance per match to shake their mobile phone to win up to 80 Shopee Coins; and

11. Cancellation or Termination
a. If eligible payment method is ShopeePay
i. You can cancel your subscription at any time from the Shopee VIP page in your account. To avoid being charged for the next subscription cycle, cancellation must be completed at least one (1) day before the renewal date. If you encounter issues, you may refer to our FAQs or reach out to customer service through the Help Centre available on the Platform to cancel your plan.

iii. Once you cancel your subscription, you will continue to be able to use your Monthly Benefits until the end of your then-current billing cycle, after which your auto-renewal subscription will automatically terminate.
iv. Shopee will not make any partial of full reimbursements for subscriptions cancelled prior to the end of your current billing cycle. Your subscription and its associated benefits, including any unused vouchers, are non-transferable to any other Shopee user or account.
v. For Shopee VIP+ subscribers:
· Upon cancellation, access to the Netflix benefit shall continue until the end of the current paid subscription period.
· If you linked an existing Netflix account to your Shopee VIP+ subscription, expiration or termination of your Shopee VIP+ subscription does not automatically cancel your Netflix membership. Upon expiration or termination of your Shopee VIP+ subscription, Netflix may resume charging the payment method registered with Netflix in accordance with Netflix's applicable terms.
· If you did not link an existing Netflix account, access to the Netflix benefit shall terminate upon expiration of your Shopee VIP+ subscription.
vi. Shopee may, at its sole and absolute discretion terminate your plan if we become aware or strongly believe that you have breached these Terms.
b. If eligible payment method is GCash
i. You can cancel your subscription at any time from the Shopee VIP page in your account. If you encounter issues, you may refer to our FAQs or reach out to customer service through the Help Centre available on the Platform to cancel your plan.
ii. You can cancel your plan at any time by accessing the unsubscribe link in your account. If you encounter issues, you may refer to our FAQs or reach out to customer service through the Help Centre available on the Platform to cancel your plan.
iii. Once you cancel your subscription, you will continue to be able to use your Monthly Benefits until the end of your then-current billing cycle, after which your auto-renewal subscription will automatically terminate.

vi. Shopee may at its sole and absolute discretion terminate your plan if we become aware or strongly believe that you have breached these Terms.
12. Notice
a. In order to ensure that you receive information regarding your subscription, Shopee VIP, Shopee VIP+, and these Terms from Shopee in a timely manner, you agree that Shopee has the right to notify you by any one of the following means: push notifications, in-app notifications, and email.
b. Any such information will be deemed to have been delivered to you on the date it was sent out by Shopee. If multiple means of notification were used simultaneously, the delivery time will be that of the date and time of the earliest notification.
13. Application of Platform Terms
a. The terms and conditions relating to the use of the Platform shall continue to apply and are incorporated by reference herein. A copy of the Platform terms and conditions may be accessed in the Shopee app or on our website.
Miscellaneous
14. Any Shopee Coins received under the Program are nontransferable, non-refundable and non-exchangeable for cash or any items.
15. By participating in the Program, you agree that you shall:
a. comply with all applicable laws and regulations when participating in the Program;
b. comply with the Shopee Policies; and
c. not participate in the Program in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee.
16. The Program and the Platform are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platform; any software or hardware used to access and participate in the Program, including an individual’s access and use of the Platform; and the reliability or quality of the underlying telecommunications network accessed and used by an individual to participate in the Program.
17. If for any reason any aspect of the Program is not capable of running as planned, including due to reasons such as communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Program and nullify any results.
18. In relation to partner benefits/entitlements, Shopee’s role is limited to providing you access to obtaining such benefits/entitlements. The provision, availability, quality, and continuity of such benefits/entitlements are subject to the terms and conditions of the respective third-party partners, and Shopee shall not be liable for any failure, interruption, modification, or discontinuation of any partner benefit/entitlement by such third parties.
19. Shopee reserves the right to make final decisions and resolve disputes regarding the Program. In this regard, Shopee may disqualify a user from participating in the Program or to take any other action pursuant to the Shopee Policies, if Shopee determines (at its absolute and sole discretion) that a user has engaged in any suspicious, fraudulent, illegal acts, abuse the Program or otherwise breached these Program Terms. For example, Shopee may suspend the auto-renewal mechanism for Subscriptions if suspicious activity is detected on the account. A user that is flagged due to such activity will no longer be eligible to subscribe to the Program.
20. To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Program or with the acceptance of any Coins Cashback, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.
21. You shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your participation in the Program, unless otherwise notified to you by Shopee.
22. Shopee shall not be liable to fulfil any obligations under these Program Terms in the event of circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism.
23. Shopee reserves the right to modify or update these Program Terms at any time without prior notice or liability to any party. A user agrees that a user is responsible for accessing and reviewing any amendments to the Program Terms. A user’s continued participation in the Program after any amendments made by Shopee shall be deemed as a user’s confirmation and acceptance of such amendments and all amendments shall be valid and applicable to such user.
24. Any reference to a time of day is a reference to Singapore time unless otherwise stated.
25. Once a Program’s purchase has been confirmed, it cannot be canceled, converted into cash, and/or transferred to another user.
26. Shopee may set a limit on the number of devices that can be linked to a Program at any given time.
27. In the event of any inconsistency between these Program Terms and any marketing or promotional materials, these Program Terms shall prevail.
