Terms and Conditions of Instant Delivery Channel Seller Incentive Program

 (“Terms and Conditions of the Program”)

1.          DEFINITIONS

 

1.1.   Instant Delivery Channel Seller Incentive Program” (“Program”) is a performance-based incentive program for sellers who use Instant Delivery Service, to recognize and reward selected sellers who demonstrate strong performance in fulfilling orders through Shopee’s Instant Delivery Service.

 

1.2.   Instant Delivery Service” refers to the service provided by Shopee which allows buyers to receive their orders within 4 hours after their purchases have been confirmed for delivery (“Instant Delivery Service”), subject to the Instant Delivery Service Terms and Conditions for Sellers.

 

1.3.    Completed Order” refers to a non-COD placed on the platform where payment is successfully confirmed and which has not been cancelled or refunded.

 

1.4.     Product” refers to any product listed by the Seller which is eligible for shipment via Instant delivery.

 

1.5.     Completed Purchase” refers to the successful completion of a transaction for a Product between a Buyer and a Seller on the platform in accordance with Shopee’s Terms of Service.

 

1.6.    Delivery Pickup Schedule" refers to the daily schedule for collection of parcels from Shops as determined by Shopee and/or the designated Logistics Provider.

 

1.7.  Eligible Listing” means Products that meet the following criteria: weight does not exceed 10 kg and dimensions do not exceed 30cm x 30cm x 30cm or a combined total of 90cm across all three dimensions. Eligible Listings exclude ticket products, gift vouchers, products with delivery lead times longer than standard Instant Delivery requirements and product categories restricted or excluded by Shopee from time to time.

 

1.8.    Shop” refers to shops set up by a seller account which lists Products for sale. For purposes of this Program, eligible Shops must be located within the following provinces: Manila, Valenzuela, Caloocan, Quezon City, Marikina, Navotas, Pasay, Pasig, San Juan, Makati, Malabon, Pateros and Taguig. Participation in the Program is limited to sellers invited and whitelisted by Shopee.

 

1.9.   Parcel Drop-off Point" refers to the service point for parcel delivery (Drop off) provided by Logistics Providers, which can be verified on the courier service provider's website.

 

1.10.   Seller” refers to sellers participating in the Program.

 

1.11.   Logistics Provider” refers to a courier or delivery service provider designated by Shopee to collect parcels from Sellers and deliver them to Buyers under the Instant Delivery Service.

 

1.12. Operation results” means the Seller’s operational performance metrics measured by Shopee for the purposes of determining eligibility for Program incentives.

 

1.13.  Eligible Listing” means Products that have the following qualifying characteristics: 1) weight must not exceed 10 kilograms; and dimension must not exceed 30cm x 30cm x 30cm, or a combined total of 90 cm across all three dimensions. Eligible Listings exclude any product that is in the ticket and gift voucher categories and products with longer delivery times than usual.

 

2.          CONDITIONS FOR PARTICIPATING IN THE PROGRAM

 

2.1.  Sellers eligible to participate in the Program will receive an invitation from Shopee through notification messages on the Platform or through the Shopee Key Account Management (KAM). Only whitelisted sellers invited by Shopee will be eligible to participate in the Program. Sellers will be deemed to have agreed to sign up for the Program if they do not decline the invitation within the specified method and period stated by Shopee. Participation in the program commences from the date stated in Shopee’s invitation.

 

2.2.   Sellers are required to provide any information requested by Shopee for the purpose of registering for the Program. By providing such information, the Seller confirms to Shopee that it is true, accurate, and complete. If the Seller's information is found to be false or incorrect, Shopee reserves the right to terminate the Seller's participation in the Program immediately and without prior notice.

 

2.3.   Upon completion of the Program registration, Shopee will send a notification message through notification messages announced on the Platform or the Shopee Seller Center and/or sent to an email, as deemed appropriate by Shopee, to confirm participation in the Program and provide the start date once again. If the Seller does not receive the notification, they should contact the Shopee Key Account Manager (KAM) or reach out to Shopee Customer Service through the Shopee application > go to the "Me" page > and click the "Chat with Shopee" button.

 

2.4.   Shopee reserves the right to disqualify any Seller or transaction from the Program where Shopee has determined that the Seller has engaged in artificial order creation, self-purchases, order manipulation, abuse of logistics processes, or any activity intended to improperly obtain Program incentives. Shopee may withhold, cancel or recover any incentives granted under the Program in connection with such activity.

 

2.5.    Sellers consent to have the performance results of their Instant Delivery Service usage evaluated according to Clause 4 and acknowledge and agree that one of the Instant Delivery Methods may be assigned for the Seller. Shopee will provide advance notice to the Seller regarding the assessment period before it begins, and will inform the Seller of the results of the assessment and delivery method prior to its commencement.

 

3.          PARTICIPATION PERIOD

 

3.1.    Seller’s participation in the Program will take effect on the date specified and notified by Shopee and will continue to be effective until terminated due to any of the reasons specified in Clause 5. Shopee reserves the right to modify, suspend, extend or terminate the Program at any time at its sole discretion.

 

4.     BENEFITS UNDER THE PROGRAM

 

4.1.   Sellers who meet the performance criteria will receive a full waiver on Shopee base commission fees applicable to Instant Delivery orders granted through monthly rebates, and Php 500 worth of advertising credits per week.

 

4.2.   Advertising credits under the Program are non-transferable, cannot be exchanged for cash, and may be subject to usage restrictions and expiry periods determined by Shopee.

 

4.3.     Shopee reserves the right to adjust, withhold, offset or recover incentives where transactions are cancelled or refunded, fraudulent or abusive activity has been detected, or Shopee’s policies are violated.

 

4.4.      The performance criteria is as follows:

4.4.1.≥ 1 successfully delivered Instant Order in the last 15 days; and

   4.4.2.≥ 80% on-time Instant Handover (IHO) performance in the last 15 days. IHO rate is calculated as:       number of Instant Orders successfully handed over on-time], divided by total number of Instant           Orders created.

 

 4.5.   Shopee’s system records of Seller’s Operation Results shall be the authoritative source for determining Seller’s performance metrics under the Program, and Seller agrees and acknowledges that the evaluation results provided by Shopee are final and non-disputable. Sellers may review the Operation Results through the Looker Studio. Seller agrees and acknowledges that if Seller wishes to dispute the Operation Results, Seller must notify Shopee within 5 days from the date of notification. 

 

5.          TERMINATION OF THE PROGRAM PARTICIPATION

 

5.1.    Shopee reserves the right to terminate the Seller’s participation in the Program by giving prior written notice to the Seller in the period as requested by applicable law before the effective date of termination in participation in the Program.

 

5.2.    Shopee may terminate the Seller’s participation in the Program immediately without prior notice where:

 

5.2.1.    Seller violates the law, Terms and Conditions of the Program and/or Shopee Policies (see definition below).

 

5.2.2.      Seller sells only Products that cannot be transported by Instant Delivery method.

 

5.2.3.      Seller acts or fails to act in any manner which results in, or may result in, damage to Shopee.

 

5.2.4.   Seller is suspected of engaging in fraudulent activity, abuse of the Program, or manipulation of Program metrics

 

5.2.5.   Seller liquidates or suspend its business (whether in whole or in part, unless it is an internal reorganization of the Seller’s business) or filed for bankruptcy, becomes insolvent, has assets seized (whether temporarily or permanently), enters into an agreement or arrangement with creditors, or transfers assets, rights, or duties for the benefit of the Seller’s creditors.

 

5.3.    If the Seller wishes to terminate the participation in the Program, the Seller can notify their desire to exit the Program by informing their Seller Ops contact or KAM. Sellers will be informed of successful termination of participation in the Program within seven (7) working days.

 

6.          GENERAL PROVISIONS

 

6.1.    Seller agrees and acknowledges that the Logistic Provider who will provide services to the Seller under the Program will be designated as Logistic.

 

6.2.   Shopee may collect, use and process Seller data for purposes relating to administration of the Program, performance monitoring, fraud prevention and platform operations, in accordance with Shopee’s Privacy Policy.

 

6.3.    Seller agrees and acknowledges that to the maximum extent permitted by applicable law, Shopee shall not be liable for indirect, incidental or consequential losses arising from the Seller’s participation in the Program.

 

6.4.     Seller agrees to indemnify, defend, and hold harmless Shopee, its affiliates, directors, officers, and employees from and against any claims, lawsuits, losses, damages, liabilities, costs, or expenses, including attorney's fees and legal expenses, directly or indirectly arising out of or related to: (a) the breach of the Terms and Conditions of the Program; (b) any errors of the Seller in performing Seller’s Duties under the Terms and Conditions of the Program in compliance with relevant laws; or (c) fraud, misrepresentation, or intentional misconduct by the Seller.

 

6.5.   Sellers are solely responsible for any taxes, duties or reporting obligations arising from incentives received under the Program.

 

6.6.   Shopee reserves the right to modify eligibility criteria, benefits or mechanics of the Program at any time. Continued participation after such modification constitutes acceptance of the revised terms.

 

6.7.   Seller agrees and acknowledges that Terms and Conditions of the program shall be subject to Terms of Services, Privacy Policy and other policies of Shopee as disclosed on Shopee’s website accessible at https://shopee.ph (collectively referred to as "Shopee Policies"). In participating in the Instant Delivery Program, the Seller agrees to strictly adhere to the Terms and Conditions of the program and the Shopee Policies. In case of any inconsistencies or conflicts between the various terms and conditions of the Program and the Shopee Policies, the Shopee Policies shall prevail, except for the parts specifically related to the Fast Shipping Program.
