Shopee Free Shipping Special (“FSS”) is a feature on Shopee where certain approved sellers (“FSS Sellers”) will be able to enjoy the rights and privileges described in these Terms of Service (“FSS Terms of Service”) and as may be separately agreed between Shopee and FSS Seller, when selling FSS Items (defined below) on Shopee for such time as agreed by FSS Seller (“FSS Period”). If you are an FSS Seller, you will be deemed to have consented to the terms and conditions described in these FSS Terms of Service when you sign up to participate as FSS Seller.

These FSS Terms of Service supplement the Terms of Service and the other Shopee Policies, of which these FSS Terms of Service forms a part. Please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in these FSS Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these FSS Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.

1. The procedure for participating in FSS (including the manner of opting out of FSS and the terms of any relevant free trial periods) shall be communicated separately in writing. If you did not receive any such separate notification referred to in this Section from Shopee or did not sign up to participate as FSS Seller but have been participating in FSS and enjoying its benefits, you may contest the charging of the FSS Service Fee (as defined below) within thirty (30) days from the date of such charging. Failure to contest the charging within the thirty-30-day period shall entitle Shopee to reject your request for refund.
2. FSS Sellers may receive marketing support from Shopee as agreed from time to time, including, but not limited to, allocation of Site rebates, discounts, vouchers, and Shopee Coins, complimentary Flash Deal advertisement, and inclusion in other Shopee online advertising and marketing materials. For the avoidance of doubt, any marketing support shall be offered at the sole and absolute discretion of Shopee.
3. Shopee charges a fee (“FSS Service Fee”) for all items successfully sold by FSS Sellers on the Site (“FSS Items”). The FSS Service Fee is borne by the FSS Seller and is calculated according to the method and the rates as notified to such FSS Seller from time to time. The “Gross Settlement Price” for an FSS Item is the FSS Seller’s original price for the FSS Item, minus any FSS Seller-sponsored shop discount or vouchers, rounded to the nearest peso. For the avoidance of doubt, the Gross Settlement Price shall not be affected by Site rebates, discounts, vouchers, and Shopee Coins. The FSS Service Fee is inclusive of value-added tax.
4. The FSS Service Fee applies to all successful orders, excluding any cancellations and returns/refunds. For the avoidance of doubt, the FSS Service Fee shall be charged on all successful orders placed during the FSS Period, even if the transaction for such order is completed after the expiry of the FSS Period.
5. Following the successful completion of a transaction, Shopee shall deduct the FSS Service Fee from the Buyer’s Purchase Monies and remit the balance to FSS Seller in accordance with Section 11.2 of the Terms of Service. Shopee shall issue official receipts for the FSS Service Fee paid by FSS Seller.
6. Shopee reserves the right to, upon its sole and absolute discretion, waive the FSS Service Fee, subject to any terms and conditions that may be determined at the sole and absolute discretion of Shopee, and as may be communicated separately by Shopee to FSS Sellers.
7. For the avoidance of doubt, the FSS Service Fee under this FSS Terms of Service applies in addition to the Seller Fees under the Terms of Service and the Shopee Mall Commission Fee under the Shopee Mall Terms of Service.
8. Shopee may, in its sole and absolute discretion, terminate the FSS feature and these FSS Terms of Service at any time by notifying the FSS Sellers.
