Shopee E-Vouchers Terms of Service

Shopee E-Vouchers is a category of Digital Products that Sellers may list for sale on the Site. If you are a Seller of Shopee E-Vouchers (“E-Vouchers Seller”), you will be deemed to have consented to the terms and conditions described in this Shopee E-Vouchers Terms of Service (this “Terms of Service”) by making your Shopee E-Vouchers available for sale on the Site.

 

This Terms of Service supplements the Terms of Service, Privacy Policy, and other Shopee Policies of which this Terms of Service forms a part (collectively, “Shopee Policies”). You are advised to read the Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in this Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service, Privacy Policy, and/or the applicable Shopee Policies. All terms and conditions described in this Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.

 

1.    Shopee E-Vouchers Terms and Conditions

 

   1.1.    Shopee may invite you to become an E-Vouchers Seller purely at Shopee’s discretion.

 

   1.2.    If you do not wish to become an E-Vouchers Seller, you must click “NO” when prompted.

 

   1.3.    If you click “YES”, you thereby consent to onboard as an E-Vouchers Seller under the Shopee "Digital Products" category and "Shopee E-Vouchers" subcategory and shall become an E-Vouchers Seller subject to this Terms of Service and the Shopee Policies.

 

   1.4.    E-Vouchers Seller warrants that (a) the Shopee E-Vouchers listed for sale on the Site (i) complies with applicable laws and the specifications listed (and made available to Buyers) on the Site, and (ii) are free from errors, faults, or defects; and (b) all information provided to Shopee including, but not limited to, product terms and conditions, descriptions, images, redemption instructions, prices, product eligibility and availability and bank details, are true and accurate.

 

   1.5.    E-Vouchers Seller understands and agrees that it will be responsible for any non-conformity or defect in any of the Shopee E-Vouchers and will hold Shopee harmless from any losses relating to the foregoing, including any refunds made to Buyers.

 

   1.6.    Shopee’s determination to approve a refund to a Buyer of a Shopee E-Voucher is binding on the relevant E-Vouchers Seller. E-Vouchers Sellers agree to comply and do all such things as necessary to give effect to a Buyer’s request for a refund approved by Shopee.

 

   1.7.    Before listing for sale any Shopee E-Vouchers on the Site, E-Vouchers Seller agrees to notify Shopee of the actual voucher codes comprising the Shopee E-Vouchers to be listed for sale on the Site and any other information as may be required by Shopee from time to time.

 

2.    Disbursement of Shopee E-Vouchers Sale Proceeds

 

   2.1.    Shopee shall credit the Net Sale Proceeds for all Shopee E-Vouchers sold by E-Vouchers Seller every day of the week, i.e., from Monday to Sunday, and to be disbursed directly to the E-Vouchers Seller’s nominated local bank account accredited by Shopee (“Linked Account”) seven (7) days after each Sunday of the week. For the avoidance of doubt, “Net Sale Proceeds” means the Buyer's Purchase Monies less the E-Vouchers Transaction Fee, E-Vouchers Tax Amount, (if applicable) Added Services Fees and Added Services Tax Amount (as these terms are defined in Section 3), and (if applicable) withholding tax. A weekly payout report can be made available upon request after disbursement, reflecting the Seller’s Net Sale Proceeds along with the E-Vouchers Transaction Fee, E-Vouchers Tax Amount, (if applicable) Added Service Fees and Added Services Tax Amount per cut-off, and (if applicable) withholding tax per cut-off

 

2.2. E-Vouchers Seller must ensure that his/her Linked Account is at all times under the registered name or tradename of E-Vouchers Seller with the relevant tax authority in compliance with and where required by applicable laws. 2.3. If Shopee deducted withholding tax from E-Voucher Seller's Net Sale Proceeds, Shopee will issue to E-Voucher Seller a Certificate of Creditable Tax Withheld at Source (BIR Form No. 2307) in accordance with applicable law. 3.    E-Vouchers Transaction Fees and Other Fees

 

   3.1.    Shopee charges a fee for all successful sale of Shopee E-Vouchers completed on the Site (“E-Vouchers Transaction Fee”). The E-Vouchers Transaction Fee shall be borne by E-Vouchers Seller and is calculated as 3.36% of the Buyer’s Purchase Monies, rounded to the nearest Philippine Peso. The E-Vouchers Transaction Fee is inclusive of value-added tax and shall be subject to such other taxes under the applicable laws (“E-Vouchers Tax Amount”).

 

   3.2.    Shopee, at its sole and absolute discretion, may offer other services, such as advertising services, to E-Vouchers Sellers (“Added Services”). The scope of the Added Services and the applicable fees (“Added Services Fees”) shall be agreed between Shopee and the E-Vouchers Seller from time to time. The Added Services Fee shall be inclusive of value-added tax and shall be subject to such other taxes under the applicable laws (“Added Services Tax Amount”).

 

   3.3.    On each month, Shopee shall (a) issue invoice to E-Vouchers Seller for the E-Vouchers Commission Fee and E-Vouchers Tax Amount, and (if applicable) the Added Services Fees and Added Services Tax Amount, for the Shopee E-Vouchers sold in the preceding month upon request of E-Vouchers Seller, and (b) pay E-Vouchers Seller the Net Sale Proceeds for all Shopee E-Vouchers sold in the preceding month.

 

   3.4.    Shopee shall issue an official receipt or such other document required by applicable law to E-Vouchers Seller for the E-Vouchers Commission Fee and E-Vouchers Tax Amount, and (if applicable) the Added Services Fees and Added Services tax Amount. If E-Vouchers Seller shall withhold any taxes, E-Vouchers Seller shall provide Shopee a Certificate of Creditable Tax Withheld at Source (BIR Form No. 2307) in accordance with applicable law upon Shopee’s issuance of the official receipt.

 

4.    Eligible and Ineligible Shopee E-Vouchers and Other Digital Products

 

   4.1.    The following can be listed for sale on the Site under Shopee E-Vouchers or other Digital Products:

       4.1.1.    Those which are directly credited to Buyer’s account (e.g., mobile top-up, PC game credits);

       4.1.2.    Those requiring Buyer to redeem online (e.g., transport/food delivery e-vouchers); and

       4.1.3.    Those requiring Buyer to redeem offline (e.g., movie tickets, dining vouchers, hotel / resort tickets).

 

   4.2.    The following are STRICTLY not allowed for listing for sale on the Site and will be delisted or banned accordingly:

       4.2.1.    Those which are redeemable, activated, or credited via mobile applications (e.g., in-app assets/currencies for mobile games, subscription services, software purchases, in-app features/services);

       4.2.2.    Those whereby Buyers receive instant access (e.g., subscription or premium account) or instant credit (e.g., in-game credits or items) right after payment.

       4.2.3.    Those that are part of mobile applications and require payment to be made using the billing systems of their respective native Mobile App Store (e.g., Apple App Store, Google Play Store).

       4.2.4.    Those which violate Shopee’s Listing Policy, any Digital Products payment policies, and/or the Shopee Policies.

 

   4.3.    E-Vouchers Seller are not allowed to directly have communication with Buyers of Shopee E-Vouchers through the Site in the form of Seller Chat. The Seller Chat option is not applicable for sale of Shopee E-Vouchers.

 

5.    Data Protection

 

   5.1.    In compliance with the Privacy Laws, Shopee cannot disclose the following information of Buyers to E-Vouchers Seller:

       5.1.1.    Any personal information as defined under the Privacy Laws (e.g., name, address, mobile number, phone number, email address);

       5.1.2.    Any sensitive personal information as defined under the Privacy Laws (e.g., age, civil status, government-issued identification); and

       5.1.3.    Shopee username.

 

6.    Other Provisions

 

   6.1.    Shopee may modify this Terms of Service at any time by posting the revised Terms of Service on the Site. Your continued participation in the Shopee E-Vouchers category after such changes have been posted shall constitute your acceptance of such revised Terms of Service.
